("INTERNATIONALAIRTRANSPORTCONTRACT甲方：PartyA:地址：Address:电话：Phone:乙方：PartyB:地址：Address:电话：Phone:第一条代理事项Article1Agencymatters1.1乙方委托甲方，由甲方代理乙方办理_________地区的国际航线的航空货物国际运输业务。1.1PartyBentrustsPartyA,andPartyAwillactonbehalfofPartyBtohandleinternationalaircargotransportationservicesoninternationalroutesin_________.1.2所述的委托与代理是一个广义的范围；不能理解为一旦乙方委托甲方从事个案航空货物国际运输业务，甲方就事实上成为乙方的货运代理人。The1.2Theconsignationandagentareabroadrange;notshallbereadandconstruedoncePartyBentrustsPartyAtoengageintheinternationaltransportationofaircargo,PartyAwillinfactbecomePartyB'sfreightforwarder.1.3乙方对个案的航空货物国际运输业务的委托，必须依照本协议第二条的规定单独签发委托书。1.3PartyBmustissueaseparateLETTEROFENTRUSTMENTinaccordancewiththeprovisionsofArticle2ofhereoffortheentrustmentoftheinternationalaircargotransportationbusinessoftheindividualcase.第二条职责范围Article2ScopeofDuties2.1对于个案的国际货物出口运输事务，乙方应当正确无误地、真实地制作委托书（该委托书的内容包括出口货物的件数、重量、体积、目的港、出运货物品名、要求航班、出运价格等要素），并送交或传真给甲方。如果甲方收到的委托书缺少上述括号内的要求，除非乙方另行书面甲方，否则视为乙方授权甲方补记。对该甲方补记的内容，乙方应予以承认。2.1Fortheindividualcaseofinternationalcargoexporttransportationaffairs,PartyBshouldaccuratelyandtruthfullyprepareaLETTEROFENTRUSTMENT(theLETTEROFENTRUSTMENTincludesthenumber,weight,volume,portofdestination,nameofthegoodsbeingshipped,requiredflights,andshippingpriceandotherelements),andsendorfaxtoPartyA.IftheLETTEROFENTRUSTMENTreceivedbyPartyAlackstheabove-mentionedrequirementsinbrackets,unlessPartyBseparatelywritestoPartyA,otherwiseitshallbedeemedasPartyBauthorizesPartyAtomakeup.PartyBshallacknowledgethecontentaddedbyPartyA.2.2乙方交给甲方货物的运输标志（唛头）必须有以下内容：收货人代号、参考号码（如：合同号、发票号等）、目的地名称、件数号码。2.2Thetransportationmark(mark)ofthegoodsdeliveredbyPartyBtoPartyAmusthavethefollowingcontents:consigneecode,referencenumber(suchascontractnumber,invoicenumber,etc.),destinationname,andnumberofpieces.2.3乙方在提供货物的同时，应提供有关出口的报关文件。该文件应根据不同的贸易性质提供以下的相应单证，包括：报关单、报关委托书、发票、装箱单、核销单、配额、许可证、手册、合同、进口报关副本、协议书及国家有关批文等。2.3WhenPartyBprovidesgoods,itshallproviderelevantexportdeclarationdocuments.Thedocumentshouldprovidethefollowingcorrespondingdocumentsaccordingtothenatureofthetrade,including:customsdeclaration,DeclarationLetter,invoice,packinglist,verificationform,quota,license,manual,contract,copyofimportdeclaration,agreementandrelevantnationalapprovaldocuments,etc.2.4乙方送交或传真的委托书应有乙方的印章或有业务人员的签名。如委托书上没有印章或签名的、甲方有权拒收委托书。2.4TheLETTEROFENTRUSTMENTsentorfaxedbyPartyBshouldhavePartyB'ssealorthesignatureofabusinessperson.IfnosealorsignatureontheLETTEROFENTRUSTMENT,PartyAhastherighttorejecttheLETTEROFENTRUSTMENT.2.5甲方对乙方送交货物的空运出口业务，应及时承办收货、出口订舱、制单、报关、报验、装板、交接等整套手续。甲方应按乙方提供的委托书以及补记内容或相应的书面补正材料正确地制作运单，根据乙方的一切定妥航班。当乙方有要求时，甲方应及时通知乙方已定妥的航班信息及出运航班信息，以及主、分运单号、板箱号。货物出运后，甲方将有关单证及文件返回乙方，乙方在没有相反证据的前提下，运单视为甲方代乙方或乙方客户填制。甲方如认为乙方可能不依照协议的规定如期支付运杂费，甲方有权利暂扣有关单证及文件。2.5FortheairexportbusinessofthegoodsdeliveredbyPartyB,PartyAshallpromptlyhandlethecompletesetofproceduressuchasreceipt,exportbooking,orderpreparation,customsdeclaration,inspectiondeclaration,palletizing,andhandover.PartyAshouldcorrectlypreparetheairwaybillaccordingtotheLetterofentrustmentprovidedbyPartyBandthesupplementarycontentorthecorrespondingwrittenbeaddedbyamendmentmaterials,andbooktheflightaccordingtoallofPartyB's.WhenrequestedbyPartyB,PartyAshallpromptlynotifyPartyBofthescheduledflightinformationandoutgoingflightinformation,aswellasthemainandhouseairwaybillnumbersandcontainernumbers.PartyAwill,uponshipmentofthegoods,returntherelevantdocumentsanddocumentstoPartyB,andifwithoutevidencetothecontrary,PartyAshallbedeemedtofillinthewaybillonbehalfofPartyBorPartyB'scustomers.IfPartyAdeemsPartyBmaynotpaythefreightandmiscellaneousexpensesasscheduledinaccordancewiththeprovisionsoftheagreement,PartyAhastherighttotemporarilywithholdrelevantdocumentsanddocuments.2.6甲、乙双方在办理国际货运业务中，必须遵守我国以及过境国或地区、到达国或地区政府的法令等有关规定。2.6Whenhandlinginternationalfreightbusiness,bothpartiesmustabidebytherelevantregulationsofmycountry,thelawsofthetransitcountryorregion,andthegovernmentofthedestinationcountryorregion.2.7如果乙方的空运货物之最终目的地或途经国为托运国以外之国家时，则可适用《华沙公约>>及其任何后成的修订及草案（统称《华沙公约>>）管辖，且在多数情况下限制甲方有关托运乙方货物时的遗失、损毁、延迟、短缺、误送、无投递、错误信息或未提供信息之责任。在某些国家，《华沙公约》限制甲方的责任为每磅9.07美元（每公斤20.38美元）（或与当地货币相当的金额），惟乙方按下文申报所托运货物价值高于上述金额，则不在此限。当乙方将托运货物交本公司时，贵我双方并未就甲方运送货物停经地点达成协议，甲方可保留就托运货物以适当方式安排经过路线之权利。2.7ProvidedthatifthefinaldestinationorcountryofPartyB’saircargoisacountryotherthantheconsigningcountry,theWarsawConventionandanysubsequentamendmentsanddrafts(ingeneraltermsWarsawConvention)maybegoverned.Inmostcases,PartyA’sliabilityforloss,damage,delay,shortage,misdelivery,non-delivery,misinformationorfailuretoprovideinformationwhenconsigningPartyB’sgoodsisrestricted.Insomecountries,theWarsawConventionlimitsPartyA’sliabilitytoUS$9.07perpound(US$20.38perkilogram)(oranamountequivalenttolocalcurrency),howeveronlyPartyBdeclaresthevalueoftheconsignedgoodshigherthantheaboveamountasdescribedbelow,notinthislimit.WhenPartyBdeliverstheconsignmenttoourcompany,youandIhavenotreachedanagreementontheplacewherePartyAstoporpassindeliveringthegoods.PartyAmayreservetherighttoarrangetherouteoftheconsignmentinanappropriatemanner.2.7乙方保证在所出运的货物中不夹带易燃、易爆等物品及国家禁止出口的物品。甲方不受理危险品（包括不明化学物质的化学物品）、贵重物品、尸体、骨灰和活动物。其他有特殊要求的货物，按航空公司有关条例办理。2.7PartyBguaranteesthatnoflammable,explosiveandotheritemsthatareprohibitedfromexportbytheStateareincludedinthegoodsshipped.PartyAdoesnotacceptdangerousgoods(includingchemicalswithunknownchemicalsubstances),valuables,corpses,ashesandliveanimals.Othergoodswithspecialrequirementsshallbehandledinaccordancewithrelevantairlineregulations.2.8乙方在货物出运中要求预付改为到付、到付改为预付的，应在航班到达目的港前10小时通知甲方。如货物在目的港被提取，甲方对此不负责任。2.8ProvidedthatifPartyBrequiresthatprepaymentbechangedtocollectpayment,orwhenpaymentondeliveryischangedtoprepaymentduringtheshipmentofgoods,PartyBshallnotifyPartyAtenhoursbeforetheflightarrivesattheportofdestination.Ifthegoodsarepickedupattheportofdestination,PartyAisnotresponsibleforit.2.9乙方在货物出运后因修改运单中有关项目或变更对货物的处置方式，要求甲方代发电报通知有关承运人的，由此产生的费用由乙方承担。2.9ProvidedthatifPartyBchangestherelevantitemsinthewaybillorchangesthewayofhandlingthegoodsafterthegoodsareshipped,PartyBrequiresPartyAtosendatelegramtonotifytherelevantcarrier,andPartyBshallbearthecostsincurred.2.10双方对货物的收运要求：乙方送甲方仓库的货物，如有破损、受潮、严重变形等，甲方有权不予接受。2.10Requirementsforthereceiptandtransportationofgoodsbybothparties:IfthegoodssentbyPartyBtoPartyA’swarehousearedamaged,damp,severelydeformed,etc.,PartyAhastherighttobenotacceptable.2.11乙方发出委托后，甲方已定妥舱位，乙方要求撤消委托的，乙方除承担本协议规定的义务外，应承担由于撤消委托行为而引起的甲方经济损失。2.11AfterPartyBissuestheentrustmentafterPartyAhasbookedaircabin,PartyBshallbeartheeconomiclossescausedbyPartyAinadditiontotheobligationsstipulatedinthisAgreement.2.12凡因甲方无法控制之原因就乙方之货物所造成的损失、损毁、延误、短缺、误送、无送货、错误信息、或未提供信息，其中包括但不限于天灾、空难、气候状况、机械故障所造成之延迟、公敌行为、战争、罢工、内乱以及持有实际或明显管理权的政府机构（包括海关或卫生机关）所为或疏忽，甲方不承担任何责任。2.12Anyloss,damage,delay,shortage,misdelivery,non-delivery,wronginformation,orfailuretoprovideinformationduetoreasonsbeyondPartyA’scontrolwithregardtoPartyB’sgoods,includingwithoutlimitationnaturaldisasters,airdisasters,weatherPartyAshallnotbeheldliableforanyactionsornegligencecausedbyconditions,delayscausedbymechanicalfailures,publicenemyactions,wars,strikes,civildisturbances,andgovernmentagencies(includingcustomsorhealthagencies)thatholdactualorobviousmanagementpowers.甲方代表签字：乙方代表签字：SignatureofPartyA'sRepresentative:SignatureofPartyB'sRepresentative:（盖公章）(Officialseal)（盖公章）(Officialseal)日期Date日期Date",)
