("演出服务合同PerformanceServiceContract甲方:PartyA:住所地：Address:联系人：Contact:联系电话：Tel:乙方：PartyB:联系地址：MailingAddress:联系人：Contact:联系电话：Tel:乙方艺人：PartyB'sEntertainer:艺名：StageName:出生地：Birthplace:证件类型：IDType:证件号码：第1页/共31页IDNo.:兹经甲、乙双方友好协商，乙方为甲方《请填充节目名称》（暂定名，名称改变不影响本协议效力）节目第请填充季提供演出服务，安排乙方艺人担任节目的嘉宾、参与节目录制，具体演出服务内容约定如下：WhereasbasedonthefriendlynegotiationbetweenPartyAandPartyB,PartyBagreestoprovideperformanceserviceforPartyAduringthe[]seasonoftheProgram,(atentativename,thechangeofwhichwillnotaffecttheforceoftheContract),andtoarrangePartyB’sEntertainertobeaguestintheProgramandparticipateinthefilmingoftheProgram,andthenPartyAandPartyBherebyreachanagreementonthespecificperformanceservicecontentasfollows:一、演出服务内容I.PerformanceServiceContent1.节目名称：《请填充节目名称》第【请填充】季（暂定名，名称更改不影响本合同效力）（以下简称“节目”）。1.ThenameoftheProgram:the[xx]seasonofxxx(atentativename,thechangeofwhichwillnotaffecttheforceoftheContract)(hereinafterreferredtoastheProgram)2.演出时间：自年月日起（含当日）至年月日（含当日）止（乙方艺人须在年月日到达约定酒店），节目录制地点为请填充，具体录制地点以甲方事先通知为准。双方协商一致后可对节目录制时间地点进行调整。2.Thetimeofperformanceshallbefromto(PartyB’sEntertainershallarriveatthedesignatedhotelon;theProgramshallberecordedatandthespecificplaceoffilmingwillbebasedonthepriornoticeofPartyA.ThetimeandtheplaceoffilmingoftheProgrammaybeadjustedviathenegotiationbetweenandbythetwopartieshereto.第2页/共31页3.乙方同意与甲方就本节目进行合作，且已经了解本节目的内容、流程、形式和性质，并将安排乙方艺人按照双方协商确定的本节目内容、流程、形式参与本节目录制活动。艺人费用由乙方与艺人协商，并由乙方支付，甲方不再另行向艺人支付费用。3.PartyBherebyagreestocooperatewithPartyAinrespectoftheProgramhereunderandacknowledgesthatithasunderstoodthecontent,process,form,andnatureoftheProgramandwillarrangePartyB’sEntertainertoparticipateinthefilmingoftheProgramonthebasisofthecontent,process,andformoftheProgramconfirmedbythetwopartiesheretothroughconsultation.WithregardtothechargeoftheEntertainershallbebasedonthenegotiationbetweenPartyBandtheEntertainer,whichshallbethenpaidbyPartyB,whilePartyAshallnotmakeanyadditionalpaymenttoEntertainer.4.乙方声明参加录制的艺人身体情况良好，没有任何有碍或不利于参与节目的身体或精神上的损伤或疾病，也不存在其他可能影响该节目录制的事宜。节目录制前，乙方艺人因身体原因无法按照甲方预定录制方案参与节目录制的，乙方应当第一时间告知甲方，甲乙双方应就录制方案调整及演出服务费用另行友好协商。若协商不成的，甲方可以解除本合同，乙方已收取的演出服务费用应当全额退回给甲方。在节目录制过程中，乙方艺人如果因疾病或伤病原因（须提供三甲医院诊断证明或在港澳台地区、其他国家登记设立之国立医院诊断证明）导致无法正常录制节目，甲方有权解除本合同，但双方应根据实际履行费用据实结算，多退少补。4.PartyBherebydeclaresthattheEntertainertoparticipateinthefilmingundertheContractshallbeingoodconditionphysically,withoutanyphysicalormentalimpairmentordiseasewhichmayhinderoradverselyinfluencehis/herparticipationintheProgramoranyotheraffairwhichmayplaceanegativeeffectonthefilmingoftheProgram.PriortothefilmingoftheProgram,intheeventthatPartyB’sEntertainerisunabletoparticipateinthefilmingoftheProgramasrequiredbythefilmingschemepre-definedbyPartyA,forhis/herphysicalreason,PartyBshallinformPartyApromptlyandPartyAandPartyBshallthennegotiateinafriendlywayovertheadjustmentofthefilmingschemeandtheperformanceservicecharge.Incaseoffailuretoreachan第3页/共31页agreementvianegotiation,PartyAmayrescindtheContractandPartyBshallrefundallpaymentsrecievedundertheContract.DuringthefilmingoftheProgramundertheContract,whenitisimpossibletonormallycarryoutsuchfilmingduetoanydiseaseorinjuryofPartyB’sEntertainer(thecorrespondingdiagnosiscertificateissuedbyaGradeIIILevelAhospitaloranationalhospitalestablishedandregisteredinHongKong,Macau,orTaiwaninChinaoranyothercountryshallbefurnished),PartyAshallbeentitledtoterminatetheContractandthetwopartiesheretoshallsettlethechargefortheactualperformanceontheprincipleofmakingrefundforanyoverpaymentorasupplementalpaymentforanydeficiency.5.乙方艺人的演出服务内容：5.TheperformanceservicecontentofPartyB’Entertainer:（1）参加节目录制：(1)ToparticipateinthefilmingoftheProgramhereundera.乙方艺人参加节目的录制，具体的录制时间以甲方事先通知为准。a.PartyB’sEntertainershallparticipateinthefilmingoftheProgramundertheContract,atthespecificfilmingtimeindicatedinthepriornoticetobegivenbyPartyA.b.参与录制内容包括但不限于：担任现场表演嘉宾及VCR拍摄、节目录制过程中的采访环节拍摄、主题曲演唱及录制、定妆照拍摄、海报拍摄等。乙方艺人根据节目的需要配合甲方制作相关的宣传短片、海报、定妆照、节目单等。b.Theparticipationstatedaboveshallinclude,butnotlimitedto,providingliveperformanceasaguest,acceptingthefilmingofVCRandaninterviewduringthefilmingoftheProgram,singingthethemesongandattendingthefilmingofthethemesong,andacceptingthetakingoffinalmakeupphotosandotherphotostobeusedasposters.BasedontheneedsoftheProgram,PartyB’sEntertainershallcooperatewithPartyAduringPartyA’sproductionofrelatedshortpromotionalvideos,posters,finalmakeupphotos,andplaybills.第4页/共31页6.甲方负责安排乙方艺人及其随行工作人员录制地往返交通及接待时间内的住宿、餐饮、交通，具体标准如下：6.PartyAshallbeliabletoarrangethemeansoftransportationforPartyB’sEntertainerandhis/heraccompanyingpersonneltoandfromtheplaceoffilmingaswellastheiraccommodation,catering,andtransportationduringthereceptionperiod,asperthefollowingspecificstandards:（1）接待时间：从节目录制日前晚起至节目录制结束后次日为止。(1)ThereceptionperiodshallstartfromthenightbeforethedateofthefilmingoftheProgramhereunderandenduponthenextdayimmediatelyfollowingthecompletionofthefilmingoftheProgram.（2）乙方艺人随行工作人员共请填充人。(2)ThenumberoftheaccompanyingpersonnelofPartyB’sEntertainershallbe.（3）机票（高铁票）：乙方艺人至录制地的往返【头等】舱国际机票/【商务座】高铁票请填充套，随行工作人员至录制地的往返【经济】舱国际机票/【二等座】高铁票请填充套。(3)Tickets(high-speedrailtickets):set(s)of[first-class]internationalair-tickets/[business-class]high-speedrailticketsforroundtripsofPartyB’sEntertainertoandfromtheplaceoffilmingandset(s)of[economy-class]internationalair-tickets/[second-class]high-speedrailticketsforroundtripsoftheaccompanyingpersonneltoandfromtheplaceoffilming.（4）住宿：录制地当地五星级酒店标准套间请填充间，随行工作人员为同酒店标准间请填充间。如受当地条件所限或节目拍摄需要，无法提供五星级酒店，则乙方艺人及其随行工作人员同意接受甲方其它安排。(4)Accommodation:standardsuite(s)atalocalfive-starhotelintheplaceoffilming,forPartyB’sEntertainer,andstandardroom(s)inthesamehotel,fortheaccompanyingpersonnel.IfPartyAisunabletoprovideroomsofafive-starhotelduetothelocalrestrictionsortheneedsforthefil第5页/共31页mingoftheProgram,PartyB’sEntertainerandhis/heraccompanyingpersonnelshallagreetoacceptotherarrangementstobemadebyPartyA.（5）拍摄地交通：安排专车负责乙方艺人及其随行工作人员从酒店到节目录制现场往返接送及拍摄现场使用，非工作原因使用车辆需经甲方节目组事先同意。(5)Transportationintheplaceoffilming:AspecialvehicleshallbearrangedforPartyB’sEntertainerandhis/heraccompanyingpersonneltotraveltoandfrombetweentherelevanthotelandthesiteofthefilmingoftheProgramhereunderaswellasonthesiteoffilming.Theuseofthevehicleforanynon-workreasonshallbepermittedbytheproductionteamofPartyAinadvance.（6）餐饮：负责为乙方艺人及其随行工作人员提供节目录制期间的全部膳食，费用标准为：艺人￥元/人/天；经纪人及随行￥元/人/天。于抵达当日提供等价当地货币现金，甲方不再负担一行其它所有消费。(6)Catering:PartyAshallberesponsibleforthecateringofPartyB’sEntertainerandhis/heraccompanyingpersonnelduringthefilmingoftheProgramhereunderandthespecificexpensestandardshallbeasbelow:forPartyB’sEntertainer,RMB/person/day;forhis/heraccompanyingpersonnel(includinghis/heragent),RMB/person/day.Theexpensestatedaboveshallbepaidinlocalcurrencywithequalamount,onthedayofarrival,andPartyAshallnotbeliableforanyotherconsumptionofPartyB’sEntertainerorhis/heraccompanyingpersonnel.二、甲方权利义务II.PartyA’sRightsandObligations1.如甲方节目需要报批的，甲方负责申办该节目之演出报批手续。1.WhereitisnecessarytosubmittheProgramofPartyAtoahigherauthorityforapproval,PartyAitselfshallbeliabletodealwiththerelevantformalitiesnecessaryfortheplayoutoftheProgram.2.甲方负责安排布置演出场地之所有设施及装备，包括灯光、音响、特别效果器材及租用演出场地之所有费用。第6页/共31页2.PartyAshallberesponsibleforthelayoutofallthefacilitiesandequipmentontheperformancesite,includinglighting,acoustics,andinstrumentsforspecialeffects,aswellasalltheexpensesfortherentingoftheperformancesite.3.甲方负责组织保安人员，维持演出地的秩序，维护录制现场的良好秩序，采取合理、有效的措施，尽可能避免可能导致节目录制现场发生混乱的情况出现。3.PartyAshallbeobligedtoorganizesecuritypersonneltomaintaintheorderontheperformancesitehereunder,keepthesiteingoodorder,andtakereasonableandeffectivemeasurestopreventchaosfromtakingplaceonthesite.4.甲方有权为该节目安排赞助商及落实给予赞助商的收益。乙方应当于本合同签订前，将乙方代言产品书面告知甲方，确保甲方对于乙方代言品牌有充分知晓，并有足够时间安排或调整节目赞助商。4.PartyAshallbeentitledtoarrangesponsorsfortheProgramundertheContractandconfirmtheearningstobegiventosuchsponsors.PriortotheconclusionoftheContract,PartyBshallinformPartyAinwritingoftheproductsendorsedbyPartyB’sEntertainer,soastomakesurethatPartyAhasasufficientknowledgeofthebrandsofsuchproductsandalsoenoughtimetoarrangeoradjustthesponsorsoftheProgram.5.甲方有权根据需要就乙方演出内容进行剪辑、编排、制作视频集锦、短视频等。5.PartyA,basedonitsownneeds,shallbeentitledtoeditandarrangetheperformanceofPartyB’sEntertainerandproduceacollectionofvideosandshortvideosinrespectofsuchperformance.6.甲方负责安排乙方艺人参与节目录制的服装、化妆，除与乙方艺人现有代言品牌相冲突外，乙方艺人应当按照甲方要求穿着指定服装。6.PartyAshallarrangetheclothingandthemakeupnecessaryfortheparticipationofPartyB’sEntertainerinthefilmingoftheProgramandPartyB’sEntertainershallwearthedesignatedclothingasrequiredbyPartyAunlesss第7页/共31页uchclothingconflictswithanybrandcurrentlyendorsedbyPartyB’sEntertainer.7.除节目效果需要外，在节目录制和播出中，甲方应保护乙方艺人的正面、健康形象。甲方有权决定播出部分或全部乙方艺人参演内容，或将乙方艺人参演的内容在不同的集数中予以呈现。7.ExceptasneededfortheeffectoftheProgramhereunder,duringthefilmingandtheplayoutoftheProgram,PartyAshallprotectthepositiveandhealthyimageofPartyB’sEntertainer.PartyAshallbeentitledtodecidetohavepartoralloftheperformanceofPartyB’sEntertainerplayedorhavetheperformanceofPartyB’sEntertainerpresentedindifferentepisodes.8.根据甲方编排需要，甲方有权对节目进行剪辑、编辑增加或减少节目实际播放的集/期数。8.PartyAshallbeentitledtoedittheProgramhereunderaswellastoincreaseorreducethenumberofepisodes/volumesoftheProgramtobeactuallyplayed,onthebasisofitsownarrangements.9.甲方同意不要求乙方艺人于录制期间做任何危险之演出或行为，甲方将在录制现场采取适当安全措施。乙方理解，如节目性质或录制需要，可能会存在具有一定挑战性的演出。在甲方实施安全措施的情况下，乙方及艺人愿意配合甲方进行相关的具有挑战性的演出。9.PartyAherebyagreesthatPartyB’sEntertainerwillnotberequiredtomakeanydangerousperformanceorconductduringthefilminghereunderandthatitwilltakepropersafetymeasuresonthesiteoffilming.PartyBshallunderstandthattheremaybesomechallengingperformanceneededbythenatureoftheProgramorduringthefilming,andPartyBandPartyB’sEntertainershallbewillingtocooperatewithPartyAtomakesuchchallengingperformance,providedthatPartyAhastakenappropriatesecurityprecautionsinplace.第8页/共31页10.因政府政策、国家广播电视总局、中共中央宣传部命令等原因造成本合同所约定节目暂停录制、停止录制、改版、停播、禁播的，甲方有权以书面方式通知乙方后提前终止本合同，甲乙双方依照实际履行情况结算费用，除此之外，甲方不承担任何责任。10.IncasethatthefilmingoftheProgramagreeduponundertheContractissuspendedorstoppedortheformoftheProgramisrevisedortheProgramisoff-airorbannedduetoagovernmentalpolicyoranorderfromtheNationalRadioandTelevisionAdministrationorPublicityDepartmentoftheCPCCentralCommittee,PartyAshallbeentitledtoearlyterminatetheContractbysendingawrittennoticetoPartyBandthenPartyAandPartyBshallsettlethechargeinvolvedonthebasisoftheactualperformanceoftheContract,andPartyAshallnotbearanyotherliability.11.关于各品牌针对于节目艺人及台词等除在节目场景部分直接出现以外的植入情况，甲方应不晚于节目开始拍摄前五个工作日将所涉冠名商、植入广告赞助商、植入方式及出现时间等全部信息（以下简称“植入清单”）以清单方式书面告知乙方先行知晓，在广告内容不违反现行法律法规、善良风俗、不丑化乙方艺人个人形象且不违反乙方艺人既有在先合同义务(包括但不限于广告代言合同)的前提下，乙方应同意保证艺人配合完成包括但不限于赞助商的口播、产品植入、与产品同框、产品使用片尾彩蛋拍摄等具体项目，且艺人肖像可用于且仅限用于对节目及节目宣传本身的全平台线上线下宣传推广及与双方确定的赞助商产品植入情况中。如因甲方未按照本款约定提前将植入清单书面乙方或因甲方要求植入的品牌或植入方式与现行法律法规不符导致乙方无法按照甲方的要求协助艺人的广告植入录制执行的，双方应协商解决且乙方不承担违约责任。如植入清单的品牌中存在与艺人代言产品属于同行业的情况，乙方应在收到植入清单后五个工作日内书面告知甲方且该等品牌在节目中不得出现单独特写；如甲方在收到乙方通知后仍安排相关品牌的单独特写，则乙方应书面通知甲方，如甲方仍未修改，则由此带来的相关损失及后果由甲方承担，与乙方无涉；如乙方在五个工作日内未回复，则视为乙方及乙方艺人同意该清单，如由此产生任何的损失及后果，由乙方自行承担。第9页/共31页11.InrespectoftheimplanationofbrandsviaPartyB’sEntertainerorhis/herlinesintheProgramhereunder,exceptwhentheydirectlyappearinpartofthescenesoftheProgram,PartyAshallprovidePartyBinadvancewithawrittenlistofalltheinformationaboutthetitlesponsoroftheProgramandthesponsorswhoseadvertisementswillbeplacedintheProgramandtherelevantmethodsandtimeofimplanation(hereinafterreferredtoastheImplanationList),nolaterthanfive(5)workdayspriortothestartofthefilmingoftheProgram.Providedthatthecontentofsuchadvertisingdoesnotviolateanyexistinglaw/regulationorgoodcustomorsmearthepersonalimageofPartyB’sEntertainerorgoagainstanyobligationunderanypreviously-signedcontractofPartyB’sEntertainer,whichremainsinfullforceandeffectatpresent,(includingbutnotlimitedtoanyadvertisingendorsementcontractofPartyB’sEntertainer),PartyBshallagreetoguaranteethattheEntertainerwillcooperatetocompletethespecificitemssuchasoralspreadingofsponsors,implanationofproducts,standingwithproducts,useofproductsinpost-creditssceneandthattheportraitoftheEntertainermaybeusedandshallbeonlyusedintheonlineandtheofflinepublicityandpromotionoftheProgramandthepublicityofthepromotionalactivitiesoftheProgramthroughvariousplatformsaswellastheimplanationofsponsors’products,confirmedbythetwopartieshereto.WherePartyAdoesnotfurnishtheImplanationListtoPartyBinwrittenformasagreeduponunderthisarticlehereoforthebrandtobeimplantedasrequiredbyPartyAoranyimplanationmethodspecifiedbyPartyAisnotconsistentwithanyexistinglaworregulation,makingPartyBfailtoassistinthefilmingoftheproductimplanation,whichistoberealizedbytheEntertainer,asrequiredbyPartyA,thetwopartiesheretoshallnegotiateoverasolutionandPartyBshallundertakenoresponsibilityforbreachoftheContract.IncasethatanybrandintheImplanationListbelongstothesameindustrywhereanyproductendorsedbytheEntertainer,PartyBshallnotifyPartyAinwritingwithinfive(5)workdaysuponitsreceiptoftheImplanationListandnoclose-upshotofsuchabrandshallbemadeseparatelyintheProgram;ifPartyAstillarrangesaseparateclose-upshotoftherelevan第10页/共31页tbrandevenfollowingsuchnotificationfromPartyB,PartyBshallaskPartyAtomakeacorrectionbysendingawrittennoticetoPartyA;PartyA,whenfailingtomakesuchacorrection,shallassumealltheresultinglossesandconsequenceswhichshallbeirrelevanttoPartyB;PartyB’sfailuretogiveanyreplywithinthefive-workdayperiodstatedaboveshallbedeemedastheacceptanceofPartyBandPartyB’sEntertaineroftheListandthelossesandconsequencesincurredtherefromshallbeatPartyB’sowncost.三、乙方权利义务III.PartyB’sRightsandObligations1.在本合同签订后，乙方应提前向甲方提供乙方艺人的档期安排，，使甲方可随时与乙方或乙方艺人取得联络或派发通告。乙方艺人必须遵守拍摄通告的日期及时间按时到达现场，并遵守甲方之录制日程和节目制度。1.UponthesigningoftheContract,PartyBshallprovidePartyAwiththescheduleofPartyB’sEntertaineraheadoftimesothatPartyAmaygetintouchwith,orsendanoticeto,PartyBorPartyB’sEntertainer,atanytime.PartyB’sEntertainershallarriveattherelatedsiteasscheduledinthenoticeoffilmingaswellasabidebythefilmingscheduleandthesystemofPartyA,applicabletotheProgram.2.乙方将遵守节目制度和甲方提出的合理节目要求。由于节目的特殊性，在节目录制期间，乙方应确保艺人遵守甲方在特定环境下安排的住宿、餐饮及交通安排。根据节目录制需要，乙方艺人可能需要穿着节目组提供的指定服装，但节目组指定服装不能与其已有的代言产品相冲突（乙方应于本合同签订前向甲方提供艺人代言产品清单），在节目录制无需求或无特殊要求的情况下除外。2.PartyBshallfollowthesystemapplicabletotheProgramandthereasonablerequirementsPartyAraisesfortheProgram.FortheparticularityoftheProgramhereunder,duringthefilmingoftheProgram,PartyBshallmakesurethattheEntertainerwillacceptPartyA’sarrangementsofaccommodation,cateringandtransportationunderaspecificcircumstance.ThefilmingoftheProgrammayrequirethatPartyB’sEntertainerwearthedesignatedclothingfurnis第11页/共31页hedbytheproductionteamoftheProgram,providedthatthedesignatedclothingstatedabovedoesnotconflictwithanyproductendorsedbytheEntertainer(beforetheContractissigned,PartyBshallgivethelistoftheproductsendorsedbytheEntertainertoPartyA),unlessitisunnecessaryforthefilmingoftheProgramorthereisnospecialrequirement.3.节目录制全程中，乙方艺人在非安全因素或其他不可抗力导致的突发事件的情况下，不能无故擅自终止录影。节目转场有时需要乙方艺人自己驾驶车辆或进行车内拍摄的，车内拍摄的内容甲方有权播出。3.ThroughoutthefilmingoftheProgramundertheContract,PartyB’sEntertainershallnotarbitrarilyterminatehis/heracceptanceofthefilming,withoutanyreason,inanyemergencycausedbyanynon-safetyfactororotherforcemajeure.ThetransitionintheProgrammayrequirefromtimetotimethatPartyB’sEntertainerdrivesavehicleoracceptthefilminginavehicleandPartyAshallbeentitledtotheplayoutofthecontentoffilminginavehicle.4.乙方应确保艺人在录制期间，听从节目组的工作安排。乙方艺人随行工作人员未经甲方现场工作人员同意，不得随意进入拍摄现场，更不得干扰节目拍摄。4.PartyBshallguaranteethattheEntertainerwillfollowtheworkarrangementsmadebytheproductionteamoftheProgramduringthefilmingundertheContract.WithouttheconsentoftheonsitepersonnelofPartyA,theaccompanyingpersonnelofPartyB’sEntertainershallnotarbitrarilyenterthesiteoffilmingorinterferewiththefilmingoftheProgram.5.在节目制作及播出期间内，乙方及乙方艺人不得做出有损甲方声誉或该节目声誉的行为，否则甲方有权解除合同，并要求乙方退还已收取的全部费用并赔偿甲方的所有损失。在上述期间或之前，如乙方或/和乙方艺人的行为构成犯罪、违反治安管理处罚法、违反社会道德（包括但不限于吸毒、嫖娼等），或存在引起不良社会影响或不当言论和行为，视为合同目的不能实现，甲方有权终止本合同，并要求乙方返还甲方已经支付给乙方的全部费用，并向甲方支付违约金，违约金按照本合同费用总金额计算。如该违约金不足以弥补甲方损失（包括但不限于诉讼费、律师费、公证费、对广告赔款等），乙方应予以补足。第12页/共31页5.Duringtheproduction/playoutoftheProgramhereunder,neitherPartyBnorPartyB’sEntertainershallhaveanyconductwhichmaybeprejudicialtothereputationofPartyAortheProgram,orotherwisePartyAshallbeentitledtorescindtheContractaswellastoaskPartyBtoreturnallthechargecollectedbyPartyBandcompensateforalltheresultinglossesofPartyA.Priorto/duringtheproductionoftheProgramhereunder,whenanyconductofPartyBor/andPartyB’sEntertainerconstitutesacrimeorgoesagainsttheSecurityAdministrationPunishmentActorsocialmorality(includingbutnotlimitedtodrugabuseorgoingwhoring)orresultsinanyadversesocialimpactorPartyBor/andPartyB’sEntertainerhasanyimproperspeechorotherimproperconduct,itshallbedeemedasthenon-fulfillmentofthepurposeoftheContractandPartyAshallbeentitledtoterminatetheContractandaskPartyBtoreturnallthechargewhichPartyAhaspaidtoPartyBaswellaspayapenalsumtoPartyA,tobecalculatedasthetotalamountofthechargeundertheContract.WheresuchapenalsumisinsufficienttomakeupforthelossesofPartyA(including,butnotlimitedto,legalcost,attorneyfee,notarialfee,andcompensationforadvertising),PartyBshallmakeupsuchinsufficiency.6.乙方保证其签署与履行本合同下义务不违反相关法律法规或第三方权益，并保证乙方艺人在此次活动中的演出、表演行为不侵犯他人合法权益，乙方艺人所表演的作品已经取得合法授权且甲方有权对其演出内容进行录制、播出、出版、发行，否则因此产生的任何纠纷均由乙方自行承担，与甲方无涉。若因此给甲方造成损失，乙方应向甲方进行赔偿。6.PartyBherebywarrantsthatitssigningandfulfillmentoftheContractwillnotviolateanyrelevantlaworregulationoranyinterestorrightofanythirdparty,theperformanceofPartyB’sEntertainerduringtheProgramwillnotinfringeanylegitimaterightorinterestofanyotherperson,andthelegalauthorizationfortheworksinvolvedintheperformanceofPartyB’sEntertainerhasbeenobtained,andthatPartyAshallbeentitledtorecord,play,publish,orissuetheperformancemadebyPartyB’sEntertainer,orotherwiseanyresultingdisputeshallberesolvedbyPartyBitself,forwhichPartyAs第13页/共31页hallshouldernoresponsibility.InrespectofallthelossesofPartyA,incurredtherefrom,PartyBshallmakecompensationtoPartyA.7.如乙方或艺人在演出过程中侵犯第三方合法权益或未取得相关合法授权，导致甲方节目无法正常制作、播出的，甲方有权自行向相关方取得授权或购买权利。由此产生的所有费用及损失，甲方有权向乙方追偿。7.ShouldPartyBorPartyB’sEntertainerinfringeanylegitimaterightorinterestofanythirdpartyorfailtoobtainthecorrespondinglegalauthorizationduringtherelevantperformance,makingitimpossibletonormallyproduceorplaytheProgramofPartyA,PartyAmaybeentitledtoobtainorpurchasetheabove-mentionedauthorizationorrightfromtherelatedparty,atitsowndiscretion,aswellastoclaimcompensationforalltheresultingexpensesandlosses,fromPartyB.8.乙方负责向甲方提供有关该节目报批手续所需资料，以便甲方办理演出之批文，如乙方艺人证件资料、宣传照片等。乙方应如实告知乙方艺人国籍情况，若乙方艺人为境外艺人，乙方负责向甲方提供有关本节目报批手续所需资料，以便甲方办理演出之批文，如乙方艺人证件资料等。相关资料需于甲方节目报批前完整提供。如因乙方不按时提供相关资料、资料有误，导致甲方节目审批无法通过的、无法获得相关批准或影响播出，甲方有权单方面解除本合同，并要求乙方返还甲方已经支付乙方的全部费用，并支付甲方违约金，违约金按照本合同费用总金额计算。8.PartyBshallberesponsibleforprovidingPartyAwithallthematerialsnecessaryfortheapplicationfortheapprovaloftheProgram,suchasthecredentialsandthepublicityphotosofPartyB’sEntertainer,soastoassistPartyAinobtainingtheapprovaloftheProgram.PartyBshallalsotruthfullytellthenationalityoftheEntertainertoPartyA.IfPartyB’sEntertainerisaforeigner,PartyBshallfurnishallthenecessarymaterialsfortheapplicationfortheapprovaloftheProgram,likethecredentialsofPartyB’sEntertainer,forthepurposeofhelpingPartyAhandletheformalitiesfortheapprovaloftheProgram.Theabove-mentionedmaterialsshallbecompletelysuppliedpriortoPartyA’sapplicationfortheapprovaloftheProgram.Whenthe第14页/共31页failureofPartyBtofurnishtherelevantmaterialsasscheduledoranymistakeinsuchmaterialsfurnishedbyPartyBmakesitimpossibleforPartyAtopasstheapprovalovertheProgramortoobtaintherelevantapprovaloraffectstheplayoutoftheProgram,PartyAshallbeentitledtounilaterallyterminatetheContractandaskPartyBtoreturnallthechargewhichPartyAhaspaidtoPartyBandpayapenalsumtoPartyA,whichshallequaltothetotalamountofthechargehereunder.9.乙方艺人应配合甲方进行与本节目相关的衍生采访类节目或相关的宣传短片、海报、节目单的录制，相关费用已包含在本合同约定的演出服务费用中，甲方无需另行支付。9.PartyB’sEntertainershallcooperatewithPartyAtoparticipateinthefilmingofanyderivativeinterviewprogramorshortpublicityvideo,poster,orplaybillrelatingtotheProgramundertheContract,ofwhichthechargeshallbeincludedintheperformanceservicechargeagreeduponhereunderandshallnotbepaidbyPartyAseparately.10.若乙方艺人及随行工作人员，在结束录制和往返录制现场途中参加与本节目无关的各种活动，包括但不限于离开住处参加朋友聚会、外出等非甲方组织的活动，因此而产生的一切不利后果都由乙方承担，与甲方无涉。乙方艺人及随行工作人员在节目录制期间，非因甲方原因导致乙方艺人或随行工作人员产生一切不利后果的，由乙方、乙方艺人或随行工作人员自行承担全部责任，与甲方无关。10.IntheeventthatPartyB’sEntertainerandhis/heraccompanyingpersonnelattendanyactivityirrelevanttotheProgramundertheContractaftertheendoftherelevantfilmingoronthewaytoorfromthesiteoffilming,including,butnotlimitedto,anyactivitywhichisnotorganizedbyPartyA,likeapartyheldbyanyfriendorgoingout,alltheresultingadverseconsequencesshallbeundertakenbyPartyBitself,andhavenothingtodowithPartyA.IncaseofanynegativeconsequencecausedtoPartyB’sEntertaineroranyofhis/heraccompanyingpersonnelnotbecauseofPartyA’sreason,duringthefilmingoftheProgramhereunder,PartyBorPartyB’sEntertainerorhis/heraccompanyingpersonnelshallassumealltherelevantliabilities,whichshallbeirrelevanttoPartyA.第15页/共31页11.乙方随行工作人员及相关工作人员的一切劳务或者劳动关系均与乙方发生，由乙方独自对前述人员进行负责，并独自承担包括但不限于前述相关工作人员的一切法律风险及意外风险，由此产生的一切法律纠纷与甲方无涉。11.AlltheaccompanyingpersonnelofPartyB’sEntertainerandtheconcernedstaffofPartyBshallestablishlaborrelationshipswithPartyBwhilePartyBshallindependentlyberesponsibletotheaforementionedpersonnelandforallthelegalrisksandaccidentrisksrelatingtosuchpersonnelstatedabove,andallthelegaldisputesincurredtherefromshallhavenothingtodowithPartyA.12.乙方保证已取得乙方艺人或其经纪公司的合法授权，有权签署本合同。如因乙方原因而导致本合同无法履行，或本节目制作完成后无法正常播出，乙方应向甲方退还甲方已经支付给乙方的全部费用，并支付违约金，违约金按照本合同费用总金额计算。该违约金不足以弥补甲方损失的，乙方还应就差额部分向甲方承担赔偿责任。乙方应于本合同签订前向甲方出具其有权签署本合同的相关授权，乙方向甲方提供艺人出具的书面授权文件（详见附件一）。12.PartyBherebywarrantsthatithasbeendulyauthorizedbyPartyB’sEntertainerorhis/heragencytosigntheContract.WhereitisimpossibletoperformtheContractortohavetheProgramplayednormallyaftertheproductionoftheProgramiscompleted,duetoPartyB’sreason,PartyBshallreturnallthechargewhichPartyAhaspaidtoPartyBaswellaspayapenalsum,toPartyA,andsuchapenalsumshallbeequaltothetotalamountofthechargeundertheContract.IfthepenalsumstatedaboveisinsufficienttomakeupforthelossesofPartyA,inrespectofsuchinsufficiency,PartyBshallalsomakecompensationtoPartyA.BeforetheContractisexecuted,PartyBshallfurnishPartyAwiththerelevantauthorizationforitsexecutionoftheContract,whichshallbeissuedbytheEntertainerinwrittenform(asdetailedinAppendixI).四、知识产权IV.IntellectualPropertyRight第16页/共31页1.甲方有权自行或指定第三方于乙方或乙方艺人录制期间进行录音、录像或拍摄并制作节目。乙方及乙方艺人同意因此产生的所有权、知识产权包括但不限于负片、胶片、盒带、硬盘、照片及含有本节目录制品载体的所有权及版权归甲方所有。1.PartyAshallbeentitledtocarryoutbyitselftapingorfilmingorfilmingandproductionoftheProgramundertheContractduringtheparticipationofPartyBorPartyB’sEntertainerinthefilminghereunderordesignateathirdpartytodosuchtaping,filming,filmingorproduction.PartyBandPartyB’sherebyagreethattheresultingownershipandintellectualpropertyrightsshallbeallpossessedbyPartyA,includingbutnotlimitedtoownershipandcopyrightsofnegativefilms,photographicfilms,cassettes,harddisks,photos,andcarrierscontainingtheProgramhereunder.2.甲方享有因本节目以及衍生节目的广播权、放映权、转播权、信息网络传播权、复制权、发行权等一切知识产权，并有权将录音录像公布于众、以合适的形式复制、销售、出租、传送、广播、信息网络传播、发行，（或授权第三方）在电视、电脑或手机等媒体终端中播出、重播、点播，以现在已知的或者将来开发的任何形式开发商业市场。甲方亦可通过电视直播、网络直播等形式将乙方艺人参与录制的内容实时公开传送。2.PartyAshallenjoyalltheintellectualpropertyrightsrelatingtotheProgramhereunderandanyderivativeprogramtherefrom,suchasrightsofbroadcasting,showing,rebroadcasting,spreadingoninformationnetwork,reproduction,andpublishing,andshallbeentitledtodisclosetherelevantvideoandaudiofilmingstothepublic,orreproduce,sell,lease,transmit,broadcast,spreadingoninformationnetwork,orpublishsuchfilmingsinaproperway,or(authorizeathirdpartyto)havetheaforementionedfilmingsplayedorreplayedorplayedondemandatanymediaterminallikeTV,computer,ormobilephone,forthepurposeofdevelopingtherelevantcommercialmarketinawaycurrentlyknownortobedevelopedinfuture.PartyAmayalsomakeopenandrealtimetransmissionofthecontentofthefilmingattendedbyPartyB’sEntertainer,inalivewayonTVorInternet.第17页/共31页3.甲方或甲方指定的第三方有权使用乙方艺人的姓名、声音、肖像、节目截图、片段、海报。3.PartyAoranythirdpartydesignatedbyPartyAshallbeentitledtousethename,voice,andportraitofPartyB’sEntertaineraswellasthescreenshots,clips,andpostersoftheEntertainer,concerningtheProgramhereunder.4.对于乙方艺人在节目录制活动中的创作、参与创作、表演所产生作品的知识产权（含邻接权），乙方同意将前述权利全部无条件转移到甲方，同时甲方愿意接受这种权利的转移。4.PartyBherebyagreestounconditionallytransferalltheintellectualpropertyrights(includingneighboringrights)overtheworkscreatedbyorwiththeparticipationofPartyB’sEntertainerorthroughtheperformanceofPartyB’sEntertainerduringthefilmingoftheProgramundertheContracttoPartyAandsimultaneouslyPartyAherebyagreestovoluntarilyacceptthetransferofsuchrightsstatedabove.5.乙方或乙方艺人提供合同项下的演出时所衍生的所有权益，包括但不限于节目之人物、造型、桥段、动作、对白、照片及片名等之一切权益（包括但不限于全球知识产权及衍生权利），均属甲方拥有。甲方有权决定如何处置该等权益，并有权处理有关本节目发行及宣传等事宜，而乙方及乙方艺人无权干涉，并不得擅自挪用上述各项权益。5.AlltherightsandinterestsderivedfromtheperformanceserviceprovidedbyPartyBandPartyB’sEntertainerundertheContract,includingbutnotlimitedtothoseovercharacters,shapes,moments,actions,dialogues,photos,andtitlesconcerningtheProgram(includingbutnotlimitedtoglobalintellectualpropertyrightsandderivativerights),shallbelongtoPartyA.PartyAshallbeentitledtodecidehowtodealwithsuchrightsandinterestsandtohandletheissuesrelatingtothereleaseandthepublicityoftheProgram,whileeitherPartyBorPartyB’sEntertainershallnotbeentitledtointerfereorarbitrarilyembezzleanyoftheaforementionedrightsorinterests.6.如乙方及乙方艺人因任何地方的法律条文而成为按照本合同约定所提供的演出的成果（包括但不限于在本节目的演出）的第一知识产权所有人或受益人，乙方及乙方艺人谨第18页/共31页此无偿及不能撤销地放弃该等权益，并以第一所有人或受益人的身份向甲方（包括相关特许权人、受让人、权益承继人）无条件永久转让有关权利和权益以及协助甲方在全世界取得有关本节目的一切知识产权。乙方及乙方艺人同意本合同一经签署，该等权利由甲方拥有。6.WherePartyBandPartyB’sEntertainerbecomethefirstintellectualpropertyownerorbeneficiarywithregardtotheachievementsoftheperformanceservice(including,butnotlimitedto,theperformanceintheProgramhereunder)suppliedasagreeduponundertheContractduetoanylocallegalprovision,PartyBandPartyB’sEntertainershallherebywaivesuchrightsandinterestsinafree-of-chargeway,unconditionallyandpermanentlytransfertherelevantrightsandinterestsasthefirstownerorbeneficiary,toPartyA(includingtherelatedlicensee/transferee/successorofrightsandinterests),andassistPartyAinobtainingalltheintellectualpropertyrightsrelatingtotheProgramallovertheworld.PartyBandPartyB’sEntertainerherebyagreethatsuchrightsshallbepossessedbyPartyAupontheconclusionoftheContract.7.任何就本节目在本合同内未有涵盖之权益及知识产权在全球范围内均属甲方。7.Alltherights,interestsandintellectualpropertyrightsinrespectoftheProgramhereunder,whicharenotcoveredbytheContract,shallbelongtoPartyA,aroundtheworld.五、演出服务费用V.PerformanceServiceCharge1.乙方提供节目录制的演出服务费用（含妆化）为人民币（大写）元（￥元）。前述费用为含税价，已包含乙方以及乙方艺人应缴纳的全部税费。甲方不再承担本合同中未明确约定的费用。1.Thechargeoftheperformanceservice(includingmakeup)tobesuppliedbyPartyBduringthefilmingoftheProgramshallbeRMB(inwords:RMBonly),whichshallbeatax-inclusiveprice,coveringallthetaxesandfeesto第19页/共31页bepaidbyPartyBandPartyB’sEntertainer.PartyAshallnotbearanyexpensewhichisnotclearlydefinedundertheContract.2.具体支付时间和金额按以下约定执行：2.Forthespecificdateandamountofpayment,thefollowingcovenantsshallbeobserved:（1）本合同签署后于不晚于年月日甲方向乙方支付第一笔演出服务费用人民币（大写）元（￥元）；(1)PartyAshallmakethefirstpaymentoftheperformanceservicechargetoPartyB,nolaterthan,followingthesigningoftheContract,whichshallequaltoRMB(inwords:RMBonly);（2）本次节目录制结束后或不晚于年月日之前（两者以较早时间为准）甲方向乙方支付演出服务费用尾款：人民币（大写）元（￥元）；(2)PartyAshallmakethebalancepaymentoftheperformanceservicechargetoPartyB,nolaterthanoruponthecompletionofthefilmingoftheProgramundertheContract,whichshallequaltoRMB(inwords:RMBonly);（3）上述全部演出服务费用均为含税款，由此产生的税金全部由乙方承担，与甲方无关。乙方每次须在甲方付款前开具符合甲方要求的、真实有效的内容为【演出服务费】的增值税专用发票或invoice给到甲方，否则甲方有权拒绝付款且不视为违约。(3)Theentireperformanceservicechargestatedaboveshallbeatax-inclusivepriceandalltheresultingtaxesshallbebornebyPartyBitself,havingnothingtodowithPartyA.PriortoeachpaymentmadebyPartyA,PartyBshallissuePartyAthecorrespondingtrueandvalidspecialVATinvoiceorinvoicewiththecontentbeing[performanceservicecharge]asrequiredbyPartyA,orotherwisePartyAshallbeentitledtorefusetomakesuchapaymentandsuchrefusalshallnotbedeemedasabreachoftheContract.3.乙方指定账户：3.TheinformationabouttheaccountdesignatedbyPartyBshallbeasfollows:开户银行：OpeningBank:第20页/共31页户名：AccountName:账号：AccountNo.:甲方开票信息：TheinformationaboutPartyA,tobeindicatedintheconcernedinvoices,shallbeasbelow:公司名称：CompanyName:统一社会信用代码：UniformSocialCreditCode:开户行及账号：OpeningBank&AccountNo.:地址及电话：AddressandTel:4.乙方应保证指定账户的信息正确无误，若因指定账户的信息提供有误，或指定账户变更未通知甲方而导致支付延误或失败的，不视为甲方违约，相关后果由乙方独立承担。4.PartyBherebywarrantsthattheaforementionedinformationaboutthedesignatedaccountshallbecorrect.AnydelayinmakingorfailuretomakeapaymentduetoanerrorinthesuppliedinformationaboutthedesignatedaccountorPartyB’sfailuretosendanoticeofachangeofthedesignatedaccounttoPartyAshallnotbedeemedasPartyA’sbreachoftheContractandtheconcernedconsequencesshallbeassumedbyPartyBindependently.5.本合同项下乙方及乙方艺人的一切税费均由乙方负责，与甲方无涉；由于税费问题给甲方造成的损失，乙方负责赔偿。5.AllthetaxesandfeesapplicabletoPartyBandPartyB’sEntertainerundertheContractshallbebornebyPartyBitself,havingnothingtodowithPartyA.PartyA’slossescausedbysuchtaxesandfeesstatedaboveshallbetheresponsibilityofPartyB.第21页/共31页6.如根据本合同约定，双方需对实际履行费用进行结算的，应按录制天数结算，具体计算方式为：甲方应支付给乙方实际费用=艺人实际参与拍摄的天数/约定录制天数（天）本合同约定的演出服务费用总额。6.TosettlethechargeoftheactualfulfillmentasagreeduponundertheContract,thetwopartiesheretoshalldosuchasettlementonthebasisoftheday(s)oftheparticipationinthefilmingoftheProgramhereunder,withthespecificmethodasfollows:TheactualchargewhichPartyAshallpayPartyB=Theday(s)oftheactualparticipationoftheEntertainerintherelevantfilming/Theagreed-uponday(s)offilming(xx(xx)day)ThetotalamountoftheperformanceservicechargeagreeduponundertheContract.六、责任和保险VI.ResponsibilitiesandInsurances1.乙方及艺人须明确知道与节目相关的活动与可能产生的各种风险并且接受随之而来的风险,乙方艺人在节目录制和做商业推广时，发生身体的损害、伤害或因外景录制造成的人身伤害，在此情况下，甲方会请保险公司支付相应的应付费用。不足部分，若因甲方过错导致的损失由甲方依法继续承担赔偿责任；若因乙方及乙方艺人过错导致的，甲方对超出保险赔偿部分的损失不承担赔偿责任。1.BothPartyBandPartyB’sEntertainershallclearlyknowalltheactivitiesandpotentialrisksrelatingtotheProgramhereunderaswellasaccepttheresultingrisks.UnderacircumstancewherePartyB’sEntertainersuffersfromanyphysicalimpairmentorinjuryduringthefilmingoftheProgramorthecommercialpromotionoranypersonalinjuryduetohis/herparticipationinthefilmingofanyoutdoorscene,PartyAwillrequesttotherelevantinsurancecompanyforthepaymentofthecorrespondingexpenses.Iftherelevantinsurancecompensationisinsufficienttopaysuchexpensesstatedabove,PartyAshalllegallycontinuetoassumetheexcessivepart,providedthatsuchacircumstanceiscausedbyPartyA’sfault;incaseofthefaultofPartyBorPartyB’sEntertainer,suchexcessivepartshallnotbetheresponsibilityofPartyA.第22页/共31页2.甲方负责为乙方艺人购买节目录制期间的人身安全意外险，保额为人民币（大写）元（￥元），保险受益人均由乙方指定。乙方应按甲方要求提供相关个人信息及资料，以便让保险办理落实到位、使相关的保险生效，否则应由乙方承担相应责任。在保险公司批准之后，保险条款的复印件会按需提供。2.PartyAshallbeliabletopurchaseanaccidentinsuranceforthepersonalsafetyofPartyB’sEntertainerduringhis/herparticipationinthefilmingoftheProgramundertheContract,inwhichtheamountinsuredshallbeRMB[]andtheinsurancebeneficiaryshallbedesignatedbyPartyB.PartyBshallfurnishtherelevantpersonalinformationandmaterialsnecessaryforthecompletionofthehandlingoftherelevantinsuranceandtheeffectivenessoftheaforementionedinsurance,asrequiredbyPartyA,orotherwisePartyBitselfshallshoulderthecorrespondingresponsibility.Withtheapprovaloftherelatedinsurancecompany,acopyofthestipulationsfortheinsurancemaybesuppliedondemand.七、不可抗力VII.ForceMajeure1.双方因不可抗力不能履行本合同的义务时，均可以部分或全部免除责任。不可抗力指不能预见、不能避免并不能克服的客观情况，既包括自然灾害，如地震、台风、洪水、火山爆发等，也包括某些社会事件，如战争、暴乱、罢工、国家有关政策的改变等。1.Eitherparty,unabletofulfillitsobligationsundertheContractduetoforcemajeure,maybeexemptedfrompartoralloftherelevantresponsibilities.Forcemajeureshallrefertounvanquishable,unforeseeable,orunavoidableobjectiveevents,includingnotonlynaturaldisasterssuchasearthquake,typhoon,flood,andvolcanicexplosionbutalsosomesocialeventslikewar,riot,strike,andchangeoftherelevantnationalpolicy.2.受不可抗力影响的一方应立即就不可抗力事件对本合同履行的影响书面通知另一方，且应当在十五日内向相对方提供权威机构出具的对该不可抗力事件之证明文件。待不可抗第23页/共31页力消除后，如本合同有继续履行之可能，双方应当尽快书面确认是否恢复履行本合同下的各项义务。2.EitherpartyaffectedbyaforcemajeureeventshallimmediatelysendawrittennoticeoftheimpactoftheforcemajeureeventonthefulfillmentoftheContracttotheotherpartyaswellasprovidetheotherpartywiththecertificationwhichthecompetentauthorityissuesinrespectoftheforcemajeureevent,withinfifteen(15)days.Upontheeliminationoftheforcemajeureevent,ifitispossibletocontinuetoperformtheContract,thetwopartiesheretoshallpromptlyconfirminwritingwhethertoresumethefulfillmentoftheobligationsundertheContract.八、保密条款VIII.Confidentiality1.除相关方作出明确书面之相反表述，甲、乙双方为履行本合同而向另一方提供或允许另一方知悉的信息均属于该方的机密信息。1.TheinformationwhicheitherpartyfurnishestotheotherpartyorallowstheotherpartytoknowforthepurposeoftheperformanceoftheContractshallbetheconfidentialinformationoftheparty,exceptasexpresslyprovidedbythepartyinwritingtothecontrary.2.无论公开的原因为何，本合同一方向社会公开的信息和资料，从公开之日起即不再属于机密信息。2.Theinformation/materialsdisclosedbyeitherpartyundertheContracttothepublicforwhateverreasonshallbenolongertheconfidentialinformationuponsuchdisclosure.3.非经一方书面许可，相对方不得将其所知悉的包括本合同在内的任何机密信息泄露给任何第三方。3.Eitherpartyshallnotdiscloseanyconfidentialinformationitknows,includingtheContract,toanythirdparty,withoutthewrittenpermissionoftheotherparty.第24页/共31页4.本合同各方保证并约束其关联企业或单位、雇员、代理人、专业顾问等同样应当完全履行本合同项下所约定的所有保密义务。4.Thetwopartiesheretowarrantthattheirrespectiveaffiliatedenterprisesandorganizations,employees,agents,andprofessionalconsultantsshallalsocompletelyfulfillalltheobligationsofconfidentiality,agreeduponhereunder.5.一方在下列情形下披露或/和使用另一方之机密信息的，不应被视为违反本条规定的保密义务：5.Eitherparty’sdisclosureor/andutilizationoftheconfidentialinformationoftheotherpartyunderanycircumstancebelowshallnotbedeemedastheparty’sbreachoftheobligationofconfidentialityspecifiedunderthisarticle:（1）为履行本合同的义务所需；(1)Suchdisclosure/utilizationisnecessaryforthefulfillmentoftheobligationshereunder;（2）国家法律强制性规定需披露的；(2)Suchdisclosureisacompulsoryprovisioninthecorrespondingnationallaw;or（3）另一方书面允许向第三方披露的。(3)Suchdisclosuretoathirdpartyispermittedbytheotherpartyinwriting.6.因本节目录制特点及要求，甲方会提前告知乙方本节目每次录制地点、录制时间、具体录制要求、节目环节设置、节目录制内容、情节安排等节目录制相关信息，上述相关信息乙方艺人及其随行工作人员及乙方人员须严格保密。在节目播出前，未经甲方同意不得以任何形式（包括但不限于微博、微信及朋友圈、博客、状态显示等）向任何第三方透露上述任何信息。否则，乙方应承担违约责任并承担全部损失。在甲方同意相关内容宣传时，请乙方予以相应的配合宣传。第25页/共31页6.Withregardtothefeaturesof,andtherequirementsfor,thefilmingoftheProgramundertheContract,PartyAwillnotifyPartyBinadvanceoftheinformationaboutthefilmingoftheProgram,suchasspecificfilmingplaceandtime,specificfilmingrequirements,setupoflinksintheProgram,contentofthefilmingoftheProgram,andthearrangementofplots,whichshallbestrictlykeptconfidentialbyPartyB’sEntertainerandhis/heraccompanyingpersonnelandPartyB’spersonnel.PriortotheplayoutoftheProgram,noinformationstatedaboveshallbedisclosedtoanythirdpartyinanyway(including,butnotlimitedto,bymeansofWeibo(micro-blog),WeChatandmomentsorstatusdisplay),withoutPartyA’spermission,orotherwisePartyBshallassumealltheresponsibilitiesforbreachoftheContractandallthelossesinvolved.DuringthepromotionoftherelevantcontentpermittedbyPartyA,PartyBshallprovideitscooperation.7.本合同解除或终止后，本条款仍然具有法律效力。7.UpontheexpirationorterminationoftheContract,thisarticleshallremaininfullforceandeffectlegally.九、违约责任IX.ResponsibilitiesforBreachofContract1.除不可抗力或乙方原因外，甲方如未能按时支付本合同项下的合同价款，且经乙方催告后，甲方在十个工作日内仍未支付的，则自第十一个工作日起，每逾期一日，按照迟延支付金额日万分之一（0.1‰）向乙方支付违约金，直至全部费用付清为止。除此之外，甲方不承担其它任何责任。1.WhenPartyAfailstomakeanypaymentofthechargeundertheContractasscheduledhereunderforanyreasonotherthanforcemajeureorPartyB’sreasonandstillfails
