('劳动合同EmploymentContract甲方PartyA:乙方PartyB:合同编号contractnumber:签约地点placeofthecontract(signed):签约日期thedateofcontract:劳动合同书EmploymentContract劳动合同双方当事人基本情况BasicInformationonBothParties甲方PartyA:()(以下简称公司hereinafterreferredtoas“Company”)注册地址RegisteredAddress:()乙方PartyB:______________________________(以下称员工hereinafterreferredtoas“Employee”)居民身份证号码IdentityCardNo.:_______________________________性别Gender:_____________其他有效证件名称及号码OtherIdentityType&No.:___________________________________________家庭住址HomeAddress:_______________________________________________________在本市居住地址CurrentCityAddress:_______________________________________________________户口所在地PermanentAddress:_____________________________________________________甲乙双方本着平等自愿、协商一致和诚实信用的原则,根据《中华人民共和国劳动法》、《中华人民共和国劳动合同法》和本市的相关法规、行政规章的有关规定,同意签订本劳动合同(以下简称本合同),并郑重承诺信守各项约定,履行各自义务。ThisEmploymentContract(hereinafterreferredtoas“thisContract”)isdrawnbasedonbothparties’mutualagreementandinaccordancetoPeople’sRepublicofChinaLaborLaw,People’sRepublicofChinaLaborContractLaw,andlocalrulesandregulationsofthiscity.Bothpartiesheretoundertaketocomplywiththetermsandconditionshereof,andperformtheirrespectivedutiesandobligations:一、录用条件EmploymentConditions非中国籍员工在开始工作前必须取得合法有效的外国人就业许可证或外国专家来华工作许可证,若不能国家规定期限内取得合法的外国人就业证或外国专家证的,本合同无效。IftheEmployeeisanexpatriate,he/shemustobtainalegitimateandvalidAlienWorkPermitorAlienExpertCertificatebeforecommencingwork.ThisContractwillbeinvalidiftheEmployeefailstoobtainthelegitimateAlienWorkPermitorAlienExpertCertificatewithinthestatutoryperiod.1、员工保证符合公司在《工作描述》中所提到的录用条件,包括但不限于岗位技能、工作经验、文化程度、健康标准等。TheEmployeeconfirmsandguaranteesthathe/shewillsatisfytheCompany’semploymentconditionsasstatedinhis/her“JobDescription”,includingbutnotlimitedtojobskills,workingexperience,educationbackground,healthstandards,etc..2、员工保证在签订本合同时与其他任何单位不存在任何形式的劳动关系,亦不受限于任何限制或禁止其受雇于公司的义务(如竞业限制义务)。TheEmployeeconfirmsandguaranteesthat,asofthetimewhenhe/shesignsthisContract,he/shehasnoemploymentrelationshipofwhatsoevertypewithanyotheremployer,andisnotsubjecttoanyobligationwhichrestrictsorprohibitshim/herfrombeingemployedbytheCompany(suchasnon-competeobligation).3、试用期内,如查实员工不符合录用条件,公司可随时解除本合同,并不支付经济补偿金。Duringtheprobationperiod,intheeventthattheEmployeeisproventohavefailedtosatisfytheemploymentconditions,theCompanymayterminatethisContractatanytimewithoutpayinganyseverance.21、合同期限ContractDuration1、本合同为固定/无固定期限的劳动合同,合同期限自_____年____月____日起至_____年____月____日/法定之终止条件出现时止。其中试用期为个月,自_____年____月____日起至_____年____月____日止。ThedurationofthisContractisfixed/open-ended,commencingfrom____________till____________/thestatutoryterminationconditionarises.TheEmployeewillbesubjectedtoaprobationperiodof3months,commencingfrom_________________till____________________.2、员工在试用期内辞职,应当提前三(3)日以书面形式通知公司。IntheeventthattheEmployeeresignsduringtheprobationperiod,athree(3)days’advancenoticemustbegiventotheCompanyinwriting.3、试用期届满前,由公司对员工在其试用期内所表现的工作技能、工作绩效、态度和责任心做出书面考评,以确定员工是否顺利转正。Priortotheexpirationoftheprobationperiod,theCompanywillconductaperformancereviewontheEmployee’sskills,performance,workingattitudeandconscientiousness,soastoevaluateiftheEmployeemaysuccessfullypasstheprobation.2、工作地点和内容WorkingLocationandContent1、员工的工作地为郑州市。TheEmployee’sworkinglocationisinZhengzhoucityoranyotherlocationsasdesignatedbytheCompany.2、公司聘用员工的职位为_________________。员工自愿受聘,同意并承诺将按照公司的要求认真履行岗位职责,完成规定工作任务,并接受公司的管理和考核。TheEmployeeisemployedas__________________.TheEmployeeisemployedonavoluntarybasisandagreestocarefullyperformhis/herworkdutiespertheCompany’srequirements,completeanyrequiredworktasks,andcomplywiththeCompany’smanagementandexamination3、员工的主要工作内容参见员工签署的《工作描述》。该《工作描述》是本合同的组成部分。公司可根据业务的要求来灵活调整《工作描述》的内容。TheEmployee’sworkcontentisspecifiedinthe“JobDescription”signedbyhim/her.The“JobDescription”formspartofthisContract.TheCompanyhastherighttoamendandadjustthe“JobDescription”asperbusinessrequirements.4、公司因业务、生产经营需要以及依据员工的工作能力和工作表现的实际考评结果,在遵循合理调动的前提下,可以调动员工的工作岗位。调整后的岗位薪资和福利待遇按照新岗位的薪资和福利标准执行,同时对《工作描述》进行相应更改。公司因业务、生产经营需要,在经过与员工沟通且遵循合理调动的前提下,可以对员工的工作地点和工作部门进行短期或长期的调整。Asperthebusinessandoperationrequirements,andbasedontheEmployee’sworkingcapacityandperformancereviewresults,theCompanymaytransfertheEmployeetoanotherposition,provided,however,thattheprincipleofreasonablenessshallbefollowed;theEmployee’ssalaryandbenefitsaftersuchpositiontransfershallbedecidedinaccordancewiththesalaryandbenefitsstandardofthenewposition,andtheEmployee’s“JobDescription”shallbeamendedaccordingly.Asperthebusinessandoperationrequirements,theCompanymayalsoadjusttheEmployee’sworkinglocationanddepartmentoneitherashort-termoralong-termbasis,provided,however,thatconsultationwiththeEmployeeshallbemadeandtheprincipleofreasonablenessshallbefollowed.3、工作时间WorkingHours1、员工适用的工时制度为标准工时制,即每天8小时,每周5天(周一到周五);员工每天的用餐时间不包3括在工作时间之中。经公司申请和劳动行政部门的批准,员工所适用的工时制度可变更为不定时或综合计算工时制。TheEmployeeisunderthestandardworkinghourscheme,i.e.8hoursperday,and5daysperweek(fromMondaytoFriday);theEmployee’smealbreakisnotincludedinhis/herdailyworkinghours.UponapplicationoftheCompanyandsubjecttopriorapprovalfromtherelevantlaborauthority,theworkinghourschemeapplicabletotheEmployeemaybechangedtotheflexibleorcomprehensiveworkinghourscheme.2、公司根据经营需要,有权安排、调整员工的工作时间。公司如安排员工加班加点,将在事前告知员工,员工应服从公司的安排。加班时间公司将依法给予补休或支付加班工资。Basedonbusinessrequirements,theCompanyhastherighttoarrangeandadjusttheEmployee’sworkinghours.IftheCompanyarrangestheEmployeetoworkovertime,theCompanywillinformtheEmployeeinadvance,andtheEmployeeshallcomplywithsucharrangement.FortheEmployee’sovertimehours,theCompanywillgrantcorrespondingtime-offorpaycompensationtotheEmployeeaspertherelevantlegalrequirements.3、员工在本合同期内享有法定节假日,若国家法定假期发生变动,按国家有关规定执行。DuringthedurationofthisContract,theEmployeeshallbeentitledtoStatutoryPublicHolidays,whichshallbesubjecttochangesasannouncedbytheauthorities.4、员工的年假、婚假、丧假、病假、产假等各种法律或公司给予的假期,均按公司《员工手册》及国家有关法规执行。前述假期不得积累也不可兑换现金。TheEmployeeshallbeentitledtoannualleave,sickleave,marriageleave,compassionateleave,maternityleave,etc.asindicatedinthe“TeamMemberHandbook”andinaccordancetogovernmentregulations.Theforegoingleaveisnotcumulativeandcannotbeconvertedintocash.5、员工享受假期应当按照公司的相关规定进行申请。未经公司同意擅自或强行休假的,构成违纪行为,公司将给予相应的纪律处分,直至并包括解除劳动合同。TheEmployeemustfollowtherelevantproceduretoapplyforleave.UnpermittedleaveconstitutesaviolationoftheCompany’srulesandregulations,andwillleadtodisciplinaryactions,uptoandincludingterminationofemployment.6、员工应严格遵守公司制定的考勤制度,违反者将受到相应的纪律处分,直至并包括解除劳动合同。TheEmployeeshallcomplywiththeCompany’sattendancepolicy.Failuretocomplywithsuchpolicywillleadtodisciplinaryactions,uptoandincludingterminationofemployment.4、劳动报酬Remuneration1、员工每月税前基本工资为人民币¥________元(大写:人民币圆整)。TheEmployee’smonthlygrosssalaryisRMB__________.。2、公司根据本企业的经营效益和员工个人的考核表现和业绩发放奖金。发放奖金的次数、时间和数额完全由公司根据其实际经营效益和员工实际绩效,按照公司制定并不时修改的相关政策来自行确定。TheCompanymayprovidebonustotheEmployeebasedonboththeCompanybusinessperformanceandtheEmployee’sindividualperformance.Thefrequency,timingandtheamountofthebonusshallbedecidedbytheCompany,atitssolediscretion,basedontheperformanceoftheCompanyandtheEmployee,andinaccordancewiththerelevantpolicy,whichisadopted,andmaybeamendedfromtimetotime,bytheCompany.3、公司的工资计算周期为每月第一个日历天至最后一个日历天。公司将于下月10日前将员工的劳动报酬支付至其指定的银行账户。员工的个人所得税由公司依法在工资中代为扣缴(除非员工根据双方的约定适用税后工资)。4TheCompany’spayrollcycleisfromthe1stcalendardaytothelastcalendardayeverymonth,andtheEmployee’ssalarywillbepaidbythe10thdayonthefollowingmonthintothebankaccountdesignatedbytheEmployee.Pursuanttolaw,theCompanyshallwithholdtheEmployee’sindividualincometaxfromhis/hersalary,andpaythesametothetaxauthorityonhis/herbehalf(exceptiftheEmployee’ssalaryispaidontheafter-taxbasisaspertheagreementbetweenbothparties).4、员工的工资调整按公司依法制定的有关制度执行。AdjustmentoftheEmployee’ssalaryissubjecttotheCompany’srelevantpolicymadeinaccordancewithlaw.5、福利待遇Benefits1、公司依据国家和本市规定为员工缴纳各项社会保险和住房公积金,法律规定应由员工个人缴纳的社会保险费和住房公积金部分,由公司代为扣缴。TheCompanyshallpaysocialinsuranceandpublichousingfundcontributionsfortheEmployeeinaccordancewithnationalandlocalrules.TheCompanywillwithholdtheportionofsocialinsuranceandpublichousingfundcontributionthatshallbebornebytheEmployeefromtheEmployee’ssalaryandpaythesametothecompetentauthoritiesonhis/herbehalf.2、员工因病或非工伤,其病假及医疗期待遇将根据相关法律、法规以及公司的管理政策办理。IntheeventthattheEmployeeissickorinjuredfornon-workrelatedreasons,his/herentitlementtosickleaveandmedicaltreatmentperiodshallbedecidedinaccordancewiththerelevantlaws,regulations,andtheCompany’spolicies.3、因工负伤及女职工产假期间的待遇按相关法律、法规及公司管理规定执行。IntheeventthattheEmployeeisinjuredforworkrelatedreasons,orisafemalewhoisonmaternityleave,his/herbenefitsshallbedecidedinaccordancewiththerelevantlaws,regulations,andtheCompany’spolicies.4、员工按其级别享有公司所规定的相应福利。TheEmployee’sentitlementtothebenefitsgrantedbytheCompanyvariesinaccordancewithhis/herJobGrade.5、员工还享有其他由双方约定的福利待遇。TheEmployeeisalsoentitledtootherbenefitsagreedbybothparties.6、劳动保护和劳动条件LaborProtectionandLaborConditions1、公司依法建立、健全安全生产规程和劳动卫生制度,并根据国家规定为员工提供符合要求的工作环境和劳动保护设施。员工有严格执行规章和爱护设施的义务,公司有依据规章对员工进行监督检查和处罚的权利。TheCompanyshallestablishandcompletethesystemsonproductionsafetyandtherulesonlaborsanitationinaccordancewithlaw,andshall,asperthegovernmentalrequirements,providetheEmployeewithasafeandhealthyworkingenvironmentandtherelevantlaborprotectionequipments.TheEmployeeshallstrictlycomplywiththeCompany’spolicyandtreasuretheCompany’sequipment,facilitiesandproperty,andtheCompanyhastherighttoconductregularchecksonandtakedisciplinaryactionsagainsttheEmployeeinaccordancewithitsrulesandregulations.2、公司根据员工所从事的工作提供必要的劳动防护用品,员工应当按照公司规定穿戴和使用。若有违反,公司可根据相关规章制度进行处罚,直至并包括解除劳动合同。TheCompanyshallprovidetheEmployeewiththenecessarylaborprotectionequipmentinaccordancewiththeEmployee’sjob.TheEmployeemustusesuchequipmentinaccordancewiththeCompany’srulesorregulations,failuretodosowillleadtodisciplinaryactions,uptoandincludingterminationofemployment.3、员工在向公司报到的当日应当提交由公司指定的医疗机构出具的有效体检证明原件。在本合同期限内,体5检证明原件由公司保存。员工如不符合法定的岗位健康标准或拒不提供健康证明或提供虚假证明的,公司有权根据本合同及有关规章制度的规定,依法解除本合同。TheEmployeeshallprovidetheCompanywithavalidmedicalcheckupcertificateissuedbythemedialinstitutiondesignatedbytheCompanyonhis/herfirstdayonboard.Duringthetermhereof,theEmployee’smedicalcheckupcertificateshallberetainedbytheCompany.IftheEmployeedoesnotfulfillthestatutoryhealthstandardsforhis/herposition,refusestoprovidethemedicalcheckupcertificateorprovidesafakemedicalcheckupcertificate,theCompanymay,basedonthisContractanditsrelevantrulesorregulations,terminatethisContractinaccordancewithlaw.7、劳动合同的变更ChangeofEmploymentContract1、在下列情形出现时,本合同可以变更:Inanyofthefollowingcircumstances,thisContractmaybesubjectedtochanges.A、订立本合同时所依据的法律、法规或规章发生变化时。Thelaws,regulationsorrules,basedonwhichthisContractwasconcluded,havebeenchanged.B、订立本合同所依据的客观情况发生重大变化,致使本合同无法履行的,经甲乙双方协商同意,可以变更本合同的相关内容。TheobjectivecircumstancesonwhichthisContractisbasedhavechangedsubstantially,thisContractthusbecomesunperformable;andtheCompanyandEmployeeagreetoamendthisContractaftermutualconsultations.C、用人单位与劳动者协商一致,可以变更本合同约定的内容。ThisContractcanbechangedifsoagreedbyboththeCompanyandtheEmployeeaftermutualconsultations.D、变更本合同应当以书面形式作出,并经双方签字后方可生效。AmendmenttothisContractmustbemadeinwriting,andshallbecomeeffectiveafterexecutedbybothparties.8、劳动合同的解除EmploymentContractTermination1、本合同经甲乙双方协商一致,可以解除。ThisContractcanbeterminatedbymutualagreementbetweenbothparties.2、员工转正之后解除本合同必须提前三十(30)日以书面形式通知公司。未提前通知的,员工应当赔偿因此给公司造成的全部损失,该损失包括但不限于公司依法提起仲裁或诉讼产生的律师费用等。如具体损失无法计算,员工同意以其一个月的工资为标准向公司支付赔偿金额。Afterexpirationoftheprobationperiod,toterminatethisContract,theEmployeemustprovidethirty(30)days’priorwrittennoticetotheCompany.IftheEmployeefailstoprovidesuchpriornotice,he/sheshallcompensateanyandalllossesincurredbytheCompanyduetosuchfailureofhim/her,includingbutnotlimitedtolegalexpensesgeneratedinarbitrationorlitigationfiledbytheCompanyinaccordancewithlaw,etc..Ifthelossesaredifficulttobecalculated,theEmployeeagreestopaydamagestotheCompanyattherateofonemonth’sofhis/hersalary.3、本合同解除时,员工必须按照公司的要求和有关规定办理离职手续,包括但不仅限于返还公司发放的物品、制服、工具、资料、文本、钥匙、电脑、磁盘、文具等;办理工作交接手续并请部门经理签字认可;办理宿舍退宿手续(如有);至其他相关部门完成离职手续并获得该部门经理的签字认可(如必要);至人力资源部门确认离职手续全部办理完毕。UponterminationofthisContract,theEmployeemustcompletethecheck-outproceduresinaccordancewiththerequirementsandrelevantrulesoftheCompany,includingbutnotlimitedtoreturningCompany6assets,uniforms,tools,materials,documents,keys,computer,harddisks,stationary,etc.,completingthejobhandoverandobtainingthesignedconfirmationfromthedepartmentmanager,completingthedormitorycheck-outprocedure(ifapplicable),completingthecheck-outprocedureswithotherrelevantdepartmentsandobtainingthesignedconfirmationsfromthedepartmentmanagers(ifnecessary),andobtainingtheHRDepartment’sconfirmationthatallcheck-outprocedureshavebeencompleted.4、若员工未能如上述条款完成离职手续,公司有权要求员工完成上述手续,若员工拒绝,则应当赔偿因此给公司造成的经济损失,且公司有权依法追究员工的民事责任以及员工新雇主的连带责任。IftheEmployeefailstocompletethecheck-outprocedurespecifiedinclause3above,theCompanyhastherighttorequesttheEmployeetocompletesuchprocedures,iftheEmployeerefusestofollowsuchrequest,he/sheshallbeliabletocompensatetheCompany’slossescausedbyhim/her,andtheCompanyalsohastherighttopursuetheEmployee’scivilliabilitiesaswellasthejointandseveralliabilitiesofhis/hernewemployerinaccordancewithlaw.5、员工离职时若未结清对公司的欠(借)款或拒绝归还公司的有关财物,员工同意公司有权从应当向其支付的款项中予以抵扣;若该等款项不足以抵扣,则公司还有权依法追究员工的民事责任。UponleavingtheCompany,iftheEmployeehasanyoutstandingloansfromtheCompanyorrefusestoreturnanyoftheCompany’sproperties,theEmployeeagreesthattheCompanyhastherighttodeducttheamountequivalenttosuchloansorthevalueoftheunreturnedpropertiesfromthefinalpaymentthatispayabletotheEmployee;andifsuchfinalpaymentisnotsufficient,theCompanyalsohastherighttopursuetheEmployee’scivilliabilitiesinaccordancewithlaw.6、员工办理完离职手续后不得擅自进入公司的任何工作区域。theEmployeewillnotbeallowedtounauthorizedaccessanyworkingareaoftheCompany.7、公司如因经济状况进行裁员,有权依法解除本合同。IncasetheCompanyinitiatesredundancyduetoeconomicreasons,theCompanymayterminatethisContractinaccordancewithlaw.8、员工违反公司的规章制度,公司有权按照规章制度的规定,对员工进行纪律处分,包括降职降薪、直至立即解除本合同。IftheEmployeebreachestheCompanyrulesorregulations,theCompanyhastherighttotakedisciplinaryactionsagainsttheEmployee,includingdemotionandsalaryreduction,anduptoimmediateterminationofthisContract.9、有下列情形之一的,公司可以随时解除本合同而不需支付给员工任何经济补偿金:Underanyofthefollowingcircumstances,theCompanyhastherighttoterminatethisContractimmediatelywithoutpayingseverancetotheEmployee:A、员工在试用期间被证明不符合录用条件的;TheEmployeeisproventohavebeenfailedtosatisfytheemploymentconditionsduringprobationperiod;不符合录用条件包括但不限于:Failuretosatisfytheemploymentconditionsincludes,butisnotlimitedto,thefollowings:(1)、员工提供或要求第三方为其提供虚假的个人信息和/或材料或与其录用有关的虚假信息和/或资料。TheEmployeeprovidesorcausesathirdpartytoprovidefalseemployment-relatedorpersonalinformationand/ordocuments.(2)、员工未能通过公司指定的医院的健康体检。TheEmployeefailsthemedicalcheckconductedbyaqualifiedhospitaldesignatedbytheCompany.7(3)、员工对其前雇主负有未清结的债务或其他责任,且公司认为该等债务或责任会对其与公司之间的劳动关系的履行带来不利影响。TheEmployeeowesoutstandingdebtsorotherliabilitiestohis/herpreviousemployer,which,intheCompany’sview,mayaverselyaffecttheEmployee’sperformanceofhis/heremploymentwiththeCompany.(4)、员工对其前雇主负有竞业限制义务,限制其与公司建立劳动关系。TheEmployeeisundernon-competeobligationstohis/herpreviousemployer,whichcreatesconstraintsontheEmployee’semploymentwiththeCompany.(5)、员工不具有完成公司指派工作任务的能力。TheEmployeeisnotcompetenttoundertaketheworkassignedbytheCompany.(6)、员工未能通过公司的工作表现考评。TheEmployeefailstheperformancereviewconductedbytheCompany.(7)、员工未满18周岁者或不具有完全民事行为能力者。TheEmployeeisbelowtheageof18yearsordoesnothavefullcapacityforcivilacts(8)、员工有精神病史或患有《传染病防治法》规定的甲类传染病和乙类传染病的。TheEmployeehasahistoryinmentalillnessorinfectedwithinfectiousdiseaseClassesAandBasprescribedinLawofthePRConPreventionandTreatmentofInfectiousDiseases.(9)、员工酗酒、吸毒者。TheEmployeeisanalcoholicordrugabuser.(10)、员工在试用期内违反行为规范,或/并导致纪律处分的。TheEmployeecommitsanoffenceunderCodeofConductpolicyor/andsubjecttodisciplinaryactionduringprobationperiod.(11)、员工在试用期内工作能力不符合要求。TheEmployeefailstomeetjobrequirementsduringprobationperiod.(12)、员工没有与原用人单位解除劳动关系。TheEmployee’semploymentrelationshipwithpreviousemployerhasnotbeenterminated.(13)、员工被有关政府机构以及相关法规列为不得从事酒店工作的。TheEmployeeisprohibitedtobeemployedorparticipateinhotelindustrybyrelevantgovernmentalauthoritiesandrelevantregulations.(14)、员工未完成相关法规规定的就业手续的。TheEmployeefailstocompleteon-boardingprocedurerequiredbyrelevantregulations.(15)、员工因非公司的原因导致入职手续在两周内仍无法完成。TheEmployeefailstocompletetheon-boardingprocedurewithin2weeksduetoreasonsnotattributabletotheCompany.(16)、相关法律法规规定的情形或其他公司合理认定的情形。CircumstancespermittingprobationaryterminationasperrelevantlawsandregulationsorreasonablydeterminedbytheCompany.A、员工严重违反公司的规章制度的;TheEmployeeisinseriousviolationoftheCompany’srulesandregulations;B、员工严重失职、营私舞弊,给公司利益造成重大损害的(指人民币5,000元或以上的经济损失或给公司声誉造成任何不利影响的);8TheEmployeeisinseriousderelictionofhis/herdutyorpracticesgraft,whichhasresultedinsubstantiallosses(meaningeconomiclossesofRMB5,000ormore,oranynegativeimpactonthereputationoftheCompany)totheCompany;C、员工同时与其他用人单位建立劳动关系,对完成公司的工作任务造成严重影响,或者经公司提出,拒不改正的;TheEmployeeestablishesconcurrentemploymentrelationwithanotheremployer,resultinginsubstantialinfluenceonthecompletionofhis/herworktasksintheCompany,orrefusingtorectifythematteraftersorequestedbytheCompany;D、员工以欺诈、胁迫的手段或者乘人之危,使公司在违背其真实意思的情况下订立或者变更本合同致使本合同无效的;TheEmployeemakesthisContractinvalidbycausingtheCompanytoenterintooramendthisContractagainstitstrueintentionsbymeansofcheatingorthreateningorbytakingadvantageoftheCompany’sdifficulties;E、员工被依法追究刑事责任的。TheEmployeeisconvictedofanycrime.9、违约金、赔偿金与经济补偿金LiquidatedDamages,DamagesandSeverance1、因由公司出资对员工进行培训或因履行保密、竞业限制义务,公司、员工双方在签订的《培训协议书》、《培训服务期协议书》、《保密协议书》、《竞业限制协议书》约定的违约金对员工具有约束力。员工违反该等协议的,应当按相应协议的约定一次性以现金方式支付违约金给公司。IftheCompanyandtheEmployeeenterintoanagreementontrainingandservicetermincasetheEmployeeacceptsanyprofessionaltrainingassponsoredbytheCompany,orenterintoanagreementonconfidentialityornon-competeforreasonthattheEmployeemustobservetheconfidentialityornon-competeobligations,theEmployeeshallbeboundbytheliquidateddamagesagreedinsuchagreement.IntheeventthattheEmployeebreachessuchagreement,he/sheshallpayliquidateddamages(inlumpsumandincash)totheCompanyinaccordancewiththerelevantagreement.2、无论公司或员工违法解除或终止本合同或违反本合同的相关约定而给对方造成损失(损害)的,受伤害一方可依据法律规定要求伤害方支付赔偿金。赔偿金的支付方式或按双方商定、或按仲裁裁决、或按人民法院判决。IntheeventthateitherpartyterminatesthisContractinviolationoflaworthisContract,andthuscausinglossestotheotherparty,thenon-defaultpartymayrequestthedefaultpartytopaycompensationinaccordancewithapplicablelawsandregulations.Paymentofthecompensationmaybedeterminedinaccordancewithbothparties’mutualagreement,thearbitraltribunal’saward,orthecourt’sjudgment3、经济补偿金的计算方式、补偿数额和支付时间等,均按国家和本市相关法律、法规、行政规章的相关规定执行。Thecalculationmethod,amount,andpaymenttimeoftheseveranceshallbedeterminedinaccordancewiththerelevantnationalandlocallaws,regulationsandrules.10、保密Confidentiality1、员工在为公司工作期间,可能获知与公司或其关联公司的业务有关的保密信息(“保密信息”)。InthecourseofworkingfortheCompany,theEmployeemaybecomeawareofinformationwhichisconfidential(“ConfidentialInformation”)andrelatedtothebusinessoftheCompanyoritsaffiliates2、保密信息是由公司开发、创造、发现或以其他方式拥有的、不为公众所知的信息。保密信息包括,但不限于:(a)商业秘密;(b)销售和营销计划,有关成本、利润、损失、市场、销售、投资的信息、人力资源信息、与公司进行的调查有关的信息、顾客和客户名单信息;(c)有关将来开发的业务或投资、并购的信息;及(d)根据保密和专有权利9协议,公司从其他公司、个人或实体处获得的书面或口头指示、意见或保密信息。ConfidentialInformationisinformationdeveloped,created,discoveredorotherwiseownedbytheCompany,whichisnotpubliclyknown.ConfidentialInformationmayinclude,butisnotlimitedto:(a)tradesecrets;(b)salesandmarketingplans,informationaboutcosts,profits,losses,markets,sales,investments,humanresourcesinformation,informationinconnectionwithanyinvestigationcarriedoutbytheCompany,andcustomerandclientlists;(c)plansforfuturebusinessdevelopmentorinvestments,mergerandacquisitioninformation;aswellas(d)writtenorverbalinstructionsorcommentsandconfidentialinformationacquiredbytheCompanyfromanothercompany,individualorentitysubjecttoasecrecyandproprietaryrightsagreement.3、员工应采取一切必要的措施以保护保密信息,例如,在员工将要离开办公室一段时间时(如午餐、出差或下班等),应将其桌面上所有含有保密信息或与之相关的文件和材料(“文件和材料”)清理干净,并且,如有必要,将它们存放在安全的地方并上锁。除非因履行工作职责需要,否则员工不得把文件和材料带离公司或将它们交给公司之外的任何个人或实体。在员工受雇于公司期间以及在本合同解除后,未经公司书面许可,员工不得向任何个人或实体披露任何保密信息。TheEmployeeshalltakeanyandallnecessaryandpropermeasurestoprotecttheConfidentialInformation;forinstance,incasetheemployeeisabouttoleavetheofficeforacertainperiodoftime(e.g.gotolunch,takebusinesstravel,getoff-dutyorotherwise),theemployeeshallclearalldocumentsandmaterials(“DocumentsandMaterials”)thatcontainormaycontainConfidentialInformationonhis/hertable/deskand,ifnecessary,lockthemupinasecureplace.TheEmployeeisprohibitedfromremovingDocumentsandMaterialsfromthebusinesspremisesoftheCompanyordeliveringDocumentsandMaterialstoanypersonorentityoutsidetheCompany,exceptasrequiredinconnectionwiththeperformanceofthedutiescontemplatedintheiremploymentwiththeCompany.DuringtheemploymentwiththeCompany,andafterterminationofthisContract,theEmployeeshallnotdiscloseanyConfidentialInformationtoanypersonorentity,unlessapprovedbytheCompanyinwriting.4、“文件和材料”可能包括但不限于:图纸、照片、表格、图表、笔记本、出版物、顾客名单、产品样品、原形和模型、电子存储信息(包括但不限于储存于个人计算机、网络、掌上电脑、软盘和CD/DVD、磁盘和录音带库(包括磁带)的信息和标记为删除的数据)、打印的文件、录音、能以暂时或永久的、可见的形式表现语言、图像或符号的任何媒介或物品、以及所有其他书面、记录、转录、打印、打孔、录音、打字、拍照、摄像形式的材料,无论其为原件或复制品。DocumentsandMaterialsmayinclude,butarenotlimitedto:drawings;photographs;charts;graphs;notebooks;publications;customerlists;sampleproducts,prototypesandmodels;electronicallystoredinformationincluding,butnotlimitedto,informationstoredonPCs,networks,personaldigitalassistants,floppydisksandCDs/DVDs,diskandtape(includingmagnetic)librariesanddatamarkedfordeletion;printouts;soundrecordings;anymediaoritemsfromwhichitispossibletorepresentwords,figuresorsymbolsinatemporaryorpermanent,visibleform;andallotherwritten,recorded,transcribed,printed,punched,taped,typed,photographed,drawnorfilmedmaterials,howeverproducedorreproduced.5、本合同解除(无论原因为何)时,员工必须将所有文件和材料及其所控制或占用的其他公司财产交还给公司,且必须销毁其手中的所有副本(无论其表现为何种形态)。UponterminationofthisContract(forwhateverreason),theEmployeemustreturnDocumentsandMaterialsandothercompanypropertiesthatareundertheircontrolorpossession,andmustdestroyallcopiesinwhatevermediuminhis/hercustody.6、员工违反保密义务的,除根据公司规章制度的规定将受到纪律处分之外,还应赔偿公司因此而遭受的损失,并承担其他有关的法律责任(包括但不限于,《反不正当竞争法》等法律法规所规定的责任)。10IftheEmployeebreacheshis/herconfidentialityobligation,he/shewillbesubjecttodisciplinaryactionaccordingtotheCompany’srulesandregulations,andshallcompensatetheCompanyforitslossessufferedduetohis/herbreach,andbearotherlegalliabilities(including,withoutlimitation,liabilitiesprovidedforbythelawsandregulationssuchastheAntiUnfairCompetitionLawetc.).11、特别约定条款SpecialTerms1、在本合同期内,除非公司明确同意,员工不得从事其它任何与公司利益相冲突的第二职业或活动。如有违反,公司视情节轻重予以纪律处理直至并包括解除本合同。如造成公司经济损失的,员工承诺承担全部的赔偿责任。DuringthetermofthisContract,theEmployeeisnotallowedtoengageinanyconcurrentjoboranyactivitiesthatareinconflictwiththeinterestsoftheCompany,exceptundertheexplicitapprovaloftheCompany.Intheeventofabreach,theEmployeeshallbesubjectedtodisciplinaryactions,uptoandincludingterminationofthisContract,basedontheseriousnessofhis/herbreach.TheEmployeeshallalsobeliabletocompensatetheCompanyforanylossesincurredduetohis/herbreachofthisclause.2、甲乙双方经协商一致另行签订的《培训服务期协议书》、《保密协议书》、《竞业限制协议书》等专项协议均系本合同的补充约定,具有与本合同同等的效力,双方应当严格遵守。Ifbothpartiesenterintoanyagreementsuchasanagreementontrainingandserviceterm,oranagreementonconfidentiality,oranagreementonnon-compete,uponmutualconsent,suchagreementshallformasupplementaltothisContractandhasthesameeffectasthatofthisContract,andbothpartiesshallstrictlyabidebysuchagreement.3、员工必须保证向公司提供准确的个人信息,并在个人信息发生变更的一周内以书面形式通知公司人力资源部,否则应承担由此造成的一切后果。EmployeeshallprovideaccuratepersonalinformationtotheCompany,andnotifytheHumanResourcesdepartmentinwritingofanychangeofhis/herpersonalinformationwithin1weekor,otherwise,theEmployeeshallberesponsiblefortheconsequencescausedthereby.12、劳动争议LaborDispute甲乙双方因履行本合同发生争议,任何一方可依法向公司所在地有管辖权的劳动争议仲裁委员会申请仲裁;对仲裁裁决不服的,可以依法向公司所在地有管辖权的人民法院提起诉讼。IncasealabordisputearisesfromtheperformanceofthisContract,eitherpartymayapplylabordisputearbitrationwiththecompetentlabordisputearbitrationcommissionintheplacewheretheCompanyislocatedinaccordancewithlaw;andifeitherpartyisnotsatisfiedwiththearbitralaward,itmayfilelitigationwiththecompetentcourtintheplacewheretheCompanyislocatedinaccordancewithlaw.13、劳动合同的生效EffectivenessofEmploymentContrac1、本合同经公司、员工双方签字并盖章后即生效(除公司、员工双方在本合同中特别约定了本合同生效时间和生效条件的情况外)。ThisContractshallbecomeeffectiveoncesignedandsealedbyboththeCompanyandtheEmployee(exceptifotherwiseagreedbybothpartiesinthisContract).2、本合同生效后,如员工不来公司报到提供劳动,公司有权解除本合同。同时员工应承担赔偿责任,赔偿范围包括但不限于公司的招收费用、仲裁或诉讼中公司支付的律师费用等。AfterthisContractbecomeseffective,theCompanymayterminatethisContractiftheEmployeefailstocometowork;andtheEmployeeshallfullyindemnifytheCompanyagainstalltherelevantlosses,includingbutnotlimitedtotherecruitmentfees,andlegalexpensesgeneratedinarbitrationorlitigationproceedingsetc.14、附则Others111、本合同未尽事宜,按国家和本市有关规定执行;若国家和本市没有有关规定的,可由甲乙双方协商解决。AnymattersnotcoveredbythisContractshallbedecidedinaccordancewiththerelevantnationalandlocallawsandregulations,andifthelawsandregulationsaresilentinsuchmatters,suchmattersshallbedecidedbybothpartiesthroughmutualconsultation.2、本合同壹式贰份,公司、员工双方各执一份,各份具有同等法律效力。ThisContractismadeintwooriginals,withtheCompanyandEmployeeeachholdingoneoriginal,andbothoriginalsshallhavethesamelegalvalidity.3、如出现中英不一致时,以中文为准。IncaseofdiscrepancybetweenChineseandEnglish,theChinesetextshallprevail.{公司名称}员工姓名{CompanyName}
