向甲方移交完毕，并附书面说明；移交完毕后公司将在下一工资发放日结算并发放剩余报酬；如未履行相关交接工作并给甲方造成损失，应予赔偿。20.Onceremoveorexpirationofthecontract,PartyBshallreturnrelevantmattersincludingdocumentsandinformationobtainedfromPartyAwithin30dayswithwrittenstatement.Afterdutytransfer,thecompanywillsettletherestpaymentonthenextpayrollday.AnylossescausedbyincapableofcompletetransferwouldbeaskedforcompensationtoPartyA.八、特别约定及其它事项OtherMatters第二十一条乙方变更通信地址或手机、固定电话等其它联系方式时，应当于变更发生之日起十日内书面通知甲方。21.IfPartyBchangescommunicationaddressorothercontactinformation,suchasthecellnumberandfixedtelephone,he/sheshallgiveawrittennoticetoPartyAwithintendaysfromthechanges.第二十二条本合同未尽事宜，双方可以协商签订补充协议，补充协议与本合同具有同等效力。22.Foritemsnotmentionedinthiscontract,bothpartiescannegotiatetosignasupplementaryagreement.Supplementaryagreementenjoyssamelegaleffectasthiscontract.第二十三条本合同自甲、乙双方盖章或签字之日起生效。本合同一式两份，甲乙双方各执一份。23.Thiscontractiseffectivebysignaturesofbothparties.Thiscontractismadeinduplicateandeachpartyholdsonecounterpart.第二十四条甲方的员工手册和规章制度为本合同附件。24.HandbookandotherrulesandregulationslegallystipulatedbyPartyAareannexesofthiscontract.甲方（盖章）:乙方（签字并加盖指印）:PartyA(stamp):PartyB(signature):WORD7精品文档可以编辑！！放心下载！法定代表人或主要负责人（签字盖章）年月日年月日补充协议(1)Thenoticeofterminationmustbesubmittedinwriting.有关终止合同的通知必须以书面形式提交。(2)ArevocationoftheappointmentofMr/MsGFfordevelopmentladdercanbecarriedoutbytheshareholders'meetingforimportantreasonsatanytime.Importantreasonsparticularlygrossbreachofdutyorincompetencearetobeconsideredforpropermanagement.PossiblyresultingcompensationclaimsbythedevelopmentmanagerofthisAgreementshallnotbeaffectedbytherevocation.提交重要原因并经股东会通过，可以随时废除该合同。重要原因应包括失职或不能胜任该职位。研发中心总经理若提出补偿索赔要求，将不受到合同废除影响。HR:合同的解除及补偿中国是有相关法律规定的，如出现以上情况依据中国法律规定执行。不建议合同中约定(3)Thecontractualrelationshipendswithoutnoticeattheendofthemonthinwhichhisheadofdevelopment65/66/67.Yearsofage(dependingonagedevelopmentmanager).合同将在研发中心总经理年满65/66/67岁（依据研发中心总经理年纪而定）的当月末自动失效。HR:因Manfred年龄达到中国法律规定退休年龄,因此不存在退休等问题。可通过合同约定期限或相关解除条款等方式解除合同不建议合同中约定(4)Iftheheadofdevelopmentinaccordancewithamedicalcertificatepermanentlynolongerabletofulfillitsdutiesunderthiscontract,theemploymentcontractexpiresattheendofthemonthinwhichadoctorhasreachedthatconclusion.ThepermanentincapacityisindisputablyWORD8精品文档可以编辑！！放心下载！assumedifadisease-relateddisabilityuninterruptedninemonthsoralongerperiod.Intheeventofterminationofemploymentduetopermanentdisability,thedevelopmentmanagerisentitledtoaseverancepaymentofthreetimesthebasicmonthlysalarywithinthemeaningof若研发总经理提交医疗证明，证明其本人永久性不能履行此合同下其职责，劳动合同将在医生的证明下在当月月末失效。关于永久丧失工作能力定义为本人在持续的九个月或更长的时间里受到疾病相关的残疾，研发中心总经理将有权获得每月基本工资（§4第一条所定的）三倍的遣散费。HR:因病不能继续履行合同的情况中国有相关法律规定，以上条款高于中国相关标准请领导确认，是否同意(5)Endtheemploymentrelationshipbythedeathofdevelopmentmanager,hashisspouse(in)/partner(in),Mr/Msxxxxyyyyyy,entitledtopaymentofcompensationinaccordancewith§4para1forthemonthofdeathandthefollowingthreemonths.Otherwise,theheirtothedevelopmentguideareeligible.若此雇佣合同因被雇人死亡而失效，他的配偶，Mr/MsXX有权从其死亡的当月和之后三个月获得相当于其每月基本工资（§4第一条所定的）的金额作为赔偿金。除此之外，其继承人也符合条件。HR:非因公死亡是否享有补偿金，请领导确认，是否同意并且此条款非聘用相关内容，属于继承关系。不建议写入合约中(6)ThePartieswillconductareviewofremunerationfortheperiodfrom1.1.2017intime.对受雇人工作期间的评估将会及时于1.1.2017进行。HR:依据公司相关规定执行，不建议写入合约(7)TheCompanypresentedthedevelopmentmanagerwithacompanycar,whichmayalsobeusedforprivatetrips.Thechoiceofcompanycarissubjecttothepolicyforcompanyvehiclesofthecompany.公司将为受雇人提供一辆公司汽车，受雇人可以用于私人需求。公司汽车的选择将依据公司对车辆使用的政策来安排。HR:我司行政部门会依据公司规定进行安排，但目前并没有车辆直接提供。请领导确认，是否同意WORD9精品文档可以编辑！！放心下载！(8)TheCompanywillmakethedevelopmentmanagerforanapartmentintheupscalestandard.公司将为受雇人提供一处以高档标准要求的住所。HR:我司行政部门会依据公司规定进行安排，请领导确认，是否同意(9)TheHeadofDevelopmenthasinthecaseofmedicallydiagnosedsickleaveareentitledtocontinuedremunerationincaseofsicknessforaperiodofsixmonths.Theentitlementtocontinuedremunerationincludesallfinancialbenefitsofthiscontract.研发总经理有权在病假期间（最长六个月）享受本合同核准的所有财务收益。HR:高于公司相关标准，并差距较大，请领导确认，是否同意(10)TheDevelopmentManagerwillbeentitledtopaidleaveof30workingdayspercalendaryear.研发总经理将享受每年30天的带薪假期。(11)Cantheleaveinthecurrentyearduetourgentoperationalorrelatedtotheindividualdevelopmentoftheconductorreasonsnotbetaken,itistransferredtothenextcalendaryear.Thetransferredholidayisthentotakeupto31Marchofthefollowingyearatthelatest;otherwiseitexpires.ThetransferredholidayentitlementexpiresonMarch31ofthefollowingyear,eveniftheholidayduetoanillnesscannotbetaken.若因为工作安排紧张而没有休完的假期将被计入下一历年。被推迟的假期将不迟于在来年的3月31号休完。没有休完的上年假期将于来年的3月31号作废，因病没休成的不在可推迟考虑之内。(12)PartyAwillreimburse3round-tripticketstoGermanyeveryyearforPartyBduringhistimeinthecompany.在职期间有权享受每年3次往返德国机票报销权利请领导确认，是否同意本合同自甲、乙双方盖章或签字之日起生效。本合同一式两份，甲乙双方各执一份。Thiscontractiseffectivebysignaturesofbothparties.Thiscontractismadeinduplicateandeachpartyholdsonecounterpart.WORD10精品文档可以编辑！！放心下载！甲方（盖章）乙方（签字）年月日年月日WORD11",)
