("技术支持合同(中英文)CONTRACTOFTECHNICALSUPPORTAGREEMENTThisContracthasbeenmadeon19February2013本合同由以下各方于2013年2月19日订立ByChinaTransmissionEquipmentCo.,Ltd.,AlimitedliabilitycompanyorganizedandexistingunderthelawsofP.R.China，withtheregisteredbusinessplaceof,(Hereinafterreferredtoas“PartyA”)甲方：中国传动设备股份有限公司,一家依照中华人民共和国法律设立和存续的有限责任公司，注册办公地：(以下简称“甲方”)And和Prof.Dr.-Ing.PeterTenberge，ChairofIndustrialandvehicledrivetechnology，RuhrUniversityBochumBuildingIB1/151Universitystreet150,44801BochumGermany，(Hereinafterreferredtoas“PartyB”)乙方：滕伯格教授（工学博士），工业及汽车驾驶技术教研室，鲁尔大学波鸿大厦IB1/151，大学路150号，44801，波鸿，德国(以下简称“PartyB”)Article1．ScopeofWork第一条工作范围1.1PartyBprovidePartyAwiththetechnicalsupportof8-SpeedAutomaticTransmissionProject.乙方协助甲方开展研发新型8速自动变速箱项目提供技术支持。1.2PartyAwillpayPartyBapriceof14,000€（Say:FourteenThousandsEuroOnly）forhistechnicalsupportof8ATresearchanddevelopment.甲方同意支付乙方开展研发新型8速自动变速箱项目提供技术支持的费用，总计14,000欧元。1.3Thescopeofthistechnicalsupportincludes:此技术支持包括以下内容：a.Deliveryofgeardamageanalysis.提供齿轮损伤分析；技术支持合同(中英文)b.Deliveryofshaftsandrollerbearings.提供轴与滚针轴承；c.DeliveryofFEMcalculation.提供FEM计算数据；d.Detailoptimizationforstandardconstructionof8AT.8AT标准结构的细节优化。Article2．LiabilitiesofPartyB乙方义务2．1PartyBshallprovidetoPartyAthecompletesetofdocumentsandtechnicaldocumentationstobeusedforthemanufactureof8-SpeedAutomaticTransmissionProjectproductsinPartyA'sfactory.Suchdocumentsandtechnicaldocumentationsshallcorrectlydirectthemanufacture.乙方向甲方提供在甲方工厂生产新型8速自动变速箱产品的全部完整工艺文件和资料，能正确指导产品的生产。2.2Therelatedtechnicalstandardsof8-SpeedAutomaticTransmissionProjectshallbesubmittedbyPartyBatthesametimethetechnicaldocumentationisprovided.乙方在提供技术资料的同时，还要提供生产新型8速自动变速箱产品全部技术标准。2.3Thetechnicaldocumentationcoveringthemanufactureof8-SpeedAutomaticTransmissionProjectshallbecomplete.乙方向甲方提供生产新型8速自动变速箱产品产品的全部专有技术资料必须是完整的技术资料。Article3．PriceandPayment第三条价款与支付3.1ThetotalpricehereofisEURO14,000(fourteenthousandEuros)whichexcludestaxes.本合同总价格为14,000欧元（壹万肆仟欧元，不含税）。3.2PaymentfromPartyAtoPartyBisduewithin30daysafterthecontractsignatureandshallbepaidinfullamountinEuro.甲方在合同签订后的30天内，应支付乙方所有款项，而且应当按规定货币欧元支付。3.3PaymentMethod:TelegraphicTransfer支付方式：电汇技术支持合同(中英文)Article4.Tax第四条税费4.1AnytaxrelatingtotheimplementationofthecontractimposedbyPartyA'scountryshallbepaidbyPartyB.凡因履行本合同而发生在甲方国家以外的一切税费，均由乙方承担。Article5.第五条Arbitration仲裁5.1Anydisputearisingfromtheimplementationofthecontractshallbesettledthroughfriendlyconsultations.Ifnosettlementcanbereached,bothpartiesshallagreetosubmitthedisputeforarbitration.凡因执行合同所发生的一切争议，均由双方通过友好协商的办法解决。如果协商仍不能解决，则双方同意将争议提交仲裁。5.2ThearbitrationshalltakeplaceintheShenzhenOfficeoftheChinaCouncilforthePromotionofInternationalTradeaccordingtoitsrulesandprocedures.仲裁地点在深圳中国国际贸易促进委员会仲裁机关，仲裁程序按中国贸促会仲裁机关的程序进行仲裁。Article6Confidentiality第六条保密Alldrawings，designs，specificationsandallothertechnicalinformationmadeavailableunderthisContractbyPartyBshallbekeptstrictlyconfidentialbyPartyAwhoshallnotsell，transferordivulgeitinanymannertoanyoneexceptthoseofitsownemployeeswhowillbeusingitinthemanufactureoftheProducts，withoutpriorwrittenconsentofPartyB.PartyAmay,however，supplysuchtechnicalinformationtoitssubcontractortotheextentnecessaryforsuchsubcontractortomanufacturepartsofContractProducts，pro-vidingthatPartyAshallhavesuchsubcontractoragree，inwriting，toholdsuchtechnicalinformationstrictlyinconfidence..乙方根据本合同所提供的一切图纸、设计、说明书及其他技术资料，甲方均须严格保密;未得到乙方的书面同意，不得以任何方式出售、转让或泄露给任何人，但不包括甲方为生产合同而使用技术资料的雇员。但是，甲方可以向分包合同人提供生产合同产品部件所必须的技术资料，分包人须书面保证对其所得到产技术资料承担严格的保密义务。Article7.ValidityoftheContract第七条合同有效期技术支持合同(中英文)ValidityoftheContract:FromFeb.19.2013toFeb.18.2014合同有效期：自2013年2月19日始，至2014年2月18日止Article8．Language第八条语言ThiscontractispreparedinEnglishandChinese.IfthereisanydiscrepancybetweentheChineseandEnglishversion,theChineseversionshallprevail.本合同用中英文书写，如中英文版本有任何差异，以中文版为准。INWITNESSWHEREOF,theformalauthorizedrepresentativesofthePartiesasundersignedhavesignedthisAgreementinfourcounterparts(PartyAretainingthreecounterpartsandPartyBretainingonecounterpart.)asofthedateofthelastsignaturesetforthbelow.协议书双方的正式授权代表在本协议书中（一式四份，甲方持有3份，乙方持有1份）首页出现的日期签署了本协议书，特此证明。PartyATransmissionCo.,Ltd.Prof.Dr.-IngPeterTenberge中国传动股份有限公司腾伯格教授Signature:SignatureName姓名:Name姓名:Title职位:Title职位:Date/日期Date/日期:",)
